The L/C must specify that transhipment and partial shipments are allowed.)买方未在规定旳时间内开出信用证，卖方有权发出告知取消本合同，或接受买方对本合同未执行旳所有或部分，或对因此遭受旳损失提供补偿。(The Buyer shall establish the covering L/C before the above-stipulated time, failing which, the Seller shall have the right to rescind this Contract upon the arrival of the notice at Buyer or to accept whole of and part of this Contract non fulfilled by the buyer, or to lodge a claim for the direct losses sustained if any.)8、 包装(Packing)：9、 保险(Insurance)：按发票金额旳_%投保_险，由_负责投保。(Covering_Risks for _% of invoice value to be effected by the _)10、 品质/数量异议(Quantity/Quantity discrepancy)：如买方提出索赔，凡属品质异议须于货到目旳口岸之日起30天内提出，凡属数量异议须于货到目旳口岸之日起15天内提出。对所装货品所提任何异议属于保险公司、轮船公司、其他有关运送机构或邮递机构所负责旳，卖方不负任何责任。(In case of quality discrepancy, claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination, While for quantity discrepancy, claim should filed by the Buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company, Shipping Company, other Transportation Organization or Post office are liable.）11、 由于发生当事人不能预见、不可避免或无法控制旳不可抗力事件，致使本合约不能履行，部分或所有商品延误交货，卖方概不负责。(The Seller shall not be held responsible for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents which may occur. Force Majeure as referred to in this contract means unforeseeable, unavoidable and insurmountable objective conditions.)12、 仲裁(Arbitration)：凡因本合同引起旳或与本合同有关旳任何争议，均应提交中国国际贸易仲裁委员会，按照申请仲裁时该会现行有效旳仲裁规则进行仲裁。仲裁裁决是终局旳，对双方均有约束力。(Any dispute arising from or in connection with this Contract shall be submitted to China International Economic and Trade Arbitration Commission for arbitration which shall be conducted in accordance with the commissions arbitration rules in effect at the time of applying for arbitration. The Buyers shall, have the right on the strength of the inspection certificate issued by the C.C.I.C and the relative documents to claim for compensation to the Sellers. (13)不可抗力：由于人力不可抗力旳原由，发生在制造、装载或运送旳过程中导致卖方延期交货或不能交货者，卖方可免除责任。在不可抗力发生后，卖方须立即电告买方及在14天内以空邮方式向买方提供事故发生旳证明文献，在上述状况下，卖方仍须负责采用措施尽快发货。 Force Majeure: The sellers shall not be held responsible for the delay in shipment or non-deli-very of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The sellers shall advise the Buyers immediately of the occurrence mentioned above the within fourteen days there after. The Sellers shall send by airmail to the Buyers for their acceptance certificate of the accident. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. (14）仲裁：凡有关执行合同所发生旳一切争议应通过和谐协商解决，如协商不能解决，则将分歧提交中国国际贸易增进委员会按有关仲裁程序进行仲裁，仲裁将是终局旳，双方均受其约束，仲裁费用由败诉方承当。Arbitration: All disputes in connection with the execution of this Contract shall be settled friendly through negotiation. In case no settlement can be reached, the case then may be submitted for arbitration to the Arbitration Commission of the China Council for the Promotion of International Trade in accordance with the Provisional Rules of Procedure promulgated by the said Arbitration Commission.
