战略合作StrategicCooperationFrameworkAgreement：框架协议StrategicCooperationFrameworkAgreementPartya:Partyb:Throughafriendlynegotiationbetweenpartyaandpartyb,twosidesdecidetoestablishstrategiccooperativerelations,onthebasisofmutualbenefit,twosidesintegrateadvantageswithunifiedresource,andcooperateextensivelyontheprojectofdevelopingTanzaniaagriculture,toachievegoodinvestmentreturnsandsocialbenefits.Tothisend,thetwosidestogethertoachievethestrategiccooperationframeworkagreement.First,CooperationPurposes1, Bothsidesestablishingmutualtrustincooperationandpracticewiththetacitunderstandingisthebasisofstrategicpartnershipinbusinesscooperation,improvingtheefficiencyandcommondevelopmentarethecooperativegoalsaswellasthefundamentalinterests.2, Thebasicprincipleofthisagreementisvoluntary,win-win,mutualbenefit,mutualpromotionandcommondevelopment,tokeepasecret,marketcoordinationprotection3, Givefullplaytotheadvantagesofbothsides,achivecomplementaryadvantages,enhancecompetitiveness,anddevelopemarkettogether.4, Thisagreementisframeworkagreementandshouldbeaguidingdocumentforthelong-termcooperationinthefuture,/51alsothefoundationofrelevantcontractthatsignedbytwoparties.Second,TheMethodsandContentsofCooperation1,TheMethodsofCooperationBothsidesestablishprofessionalbusinessteamsforexchangingcooperationcontentsregularly,locationcanbeinTansaniaorinheadquartersinChongqing,China.Twosidescouldunderstandtherelevantsituationofthecooperationprojectsbydesignatedpersonnel,andbothPartiesareresponsibleforkeepingconfidentialinformationsstrictly.PartybofferpartyathesupportofagriculturalprojectsinTanzania,partyataketheresponsibilitystrictlyfortheaboveconfidentialinformations.2,CooperationContentsThespecificcontentsofbilateralstrategiccooperation(includingbutnotlimitedtothefollowingcontents):(1) ThetwopartiescooperatecomprehensivelyinDakawaagriculturaldemonstrationzoneinMorogoroProvince,Tanzania,partybcouldprovideorrentagriculturalmachineryandequipmentsortechnicalsupporttopartya,partyacouldofferpartybnecessaryvenuesusedforthestorageormaintenanceofequipments,etc.(2) ThetwosidescandiscussandcooperatedeeplyinthefurtherdevelopmentofChinese(3) Thetwosidescomprehansivelycooperateinpromotingexcellentagriculturalproducts(newvarieties,suchasrice,maizeandvegatable,ect.),asasolepartnerofpartyainMbeyaProvinceinTansania,partybisresponsiblefortheproduct/52promotionandsales(withtheexceptionofthespecialrequirementsofTansania.),partyaprovidespartybwithsupport,suchastraining,telephoneandon-siteguidanceaswellasvisitreceptioninDakawademonstrationzone,ect.Inordertobetterexplorethemarket,bothpartiesmakematerialstogetherthatarereleranttoproductpublicityandpromotion(includingbutnotlimitedtodisplayboards,posters,etc.),atthesametime,websitesofbothpartiesachievefriendlylinksandexchangeofvisits.Thespecificpromotionwaybedeterminedbymutualnegotiation.(4) Inadditiontotheabovecooperationcontents,newaddedcooperationprojectscansignedsupplementaryagreementbasedonthisframework.Third,therightsandobligationsofbothsides(a)Therightsandobligationsofpartya1,Inordertobetterdeepenunderstandingandcooperation.partyamaynotregularlyinspectsareaofpartybtounderstandpartybswork,2,partyaareresponsibleforthequalityofitsproductsaccordingtothecontractssignedwithpartyb,aswellasprovideproducttechnicalsupportandafter-salesserviceincoordancewiththecontract.(b)TheRightsandAbligationsofPartyb1,Partybhastherighttoadjustthepriceaccordingtothemarketpricesofrelatedagriculturalproductswithinthescopeofpriceadjustmentinthecontract.2,Ifpartyarequires,partybshouldreceivecustomersfrom/53partyaforrelatedinspections,partybrespectsandacknowledgesthecustomersinformationascommercialsecrets,withoutpartyasallows,partybshallnottocontactandrevealtheaboveinformations.Fourth,ConfidentialityAgreement1,bothpartiesshouldstrictlykeepeachothersbusinesssecretseitherlearntthroughtheworkcontactsorotherchannels,withoutthepriorwrittenconsentoftheotherparty,andshallnotbedisclosedtoathirdparty.2,inadditiontoworkneedsstipulatedontheprovisionsofthisagreement,withoutpriorconsentoftheotherparty,bothsidesshallnotuse,copyeachotherstechnicalinformations,businessinformationandotherdata.Fifth,ThePeriodofValidityThisagreementisvalidfor3years,from2003toIfbothpartiesaresatisfiedforthecooperationbetweeneachother,thisagreementwillbeautomaticallyrenewed_1_yearontheconditionthatbothpartiesagreeonit.Sixth,MattersNotMentionedHereinForissuesnotstipulatedinthisagreement,thetwopartiesshouldnegotiateandsolvejointlyonthemattersthatbothpartiesthinkitneedtoincreaseduringtheprocessofcooperation,orsignasupplementaryagreement.Seven,LiabilityforBreachofContractBothpartiesabidebythesetermsandconditions,cooperationofdisputeshouldberesolvedthroughfriendlyconsultation;Ifitdoesntworkbyconsultation,bothpartiescaninstituteproceedingsinthePeoplesCourt./54Eight,ProtocolValidationThetwopartiesvalidatetheagreementwiththeirsignaturesandseals,thisagreementisinquadruplicate,eachpartyholdstwocopies,eachcopyhasequallegaleffect.Partya:Legalrepresentative:contact:Address:LaneNumber12atNanpingEastRoadinChongqing,ChinaTelephone:Zipcode:400060Partyb:Legalrepresentative:contact:Address:Telephone:Zipcode:P.O.BOX8416Location:NanpingdistrictinChongqing,ChinaSigningdate:September29,2013/55
