精品资料，欢迎大家下载！质量保证协议书范本1、目de：为明确公司简称为甲方对供给商de质量要求,并为供给商简称为乙方de产品不合格时,作为处理和索赔de依据.2、质量要求：2.1、乙方为甲方提供de产品,其性能必须符合甲方de原材料技术标准?或夕卜协件内控标准?.2.2、乙方每次送货时,必须提供物资de合格证或自检报告等证明物资合格de材料.2.3、乙方de产品包装必须满足甲方要求；包装必须注明生产日期、生产批号、有效期、重量等.2.4、当甲方de顾客需要到乙方进行验证时,乙方应给予安排并配合验证工作.2.5、乙方必须保证百分之百de及时供货水平.3、发生不合格de处理：3.1、经甲方验证不符合原材料技术标准?de原材料或不符合外协内控标准?de外协件,乙方必须进行退货,并由乙方负担甲方de运输费及试验费.运输费按每100公斤；10元/10公里、试验费按30元/100公斤.3.2、发现乙方物资不合格时,应及时按甲方提供de信息进行整改,并在15天内提交给己方整改举措报告,经甲方确认后才能再次送货.备注：虽然我公司对关键物资、重要物资、一般物资进行性能试验或检验,但在使用过程中如出现质量问题,乙方不能推卸责任,并由乙方负担全部损失.乙方负责人签字盖章：质量保证部签字盖章需方全称：(以下简称甲方)公司地址：buyer:movingtechnology(shenzhen)co.,ltd,(abbreviated:partya)add:tel:fax:供方全称：(以下简称乙方)公司地址：seller:dongguanweihongharewareplasticco.,ltd(abbreviated:partyb)add:no.188th,pingshan,tangxia,dongguancitytel:fax:产品名称：沙发调节器五金件productname:sofaadjusterhardwareparties本协议为采购协议?de附件之一,适用于正常采购到货产品及索赔到货产品deasoneofsupplementary质量要求,与该协议有同样de法律效力,甲乙双方应严格遵守.ofpurchasingagreement,thisagreementappliestothequalityrequirementofnormalpurchaseandclaims.甲乙双方以相互信任、相互合作de态度,对该协议de以下条款达成一致：basedonthemutualtrust,mutualcooperation,bothpartiesagreetoachievetheagreementasbelow:产品种类:productcodes第一条产品标准standard乙方应严格根据前期甲方测试确认可以接受de样品性能、以及根据甲方提供de设计图纸和技术,进行本产品de生产和向甲方批量供货.partybshouldprovidethegoodswhoseperformance,design,technologyparameteraresameasthesamplesconfirmedbypartya.第二条检验方法testingway1样品封样：在第一批供货之前,乙方提供个产品/每个编码,由甲方研发部、质量检验部和乙方共同签字确认后,作为此产品de封样样品,以后de来料检验,成品检验将以封样样品为检验de标准之一.sealedsample:before1stshipmentlot,partybshouldprovidepieces/codesamples,whichshouldbeapprovedandsignoffbytheresearch&developmentdept.andqualitycontroldept.ofpartyaandpartyb,asthesealedsamples;theinspectionofincomingmaterialandfinishedgoodsshouldreferringtothesealedsamplesasthestandard.2检验标准：以甲方提供de设计图纸和技术参数规定、封样样品、甲方de交验标准、相关国家标准、甲乙双方成认de抽样质量标准为依据进行检验.inspectionstandard:basedonthedesigndrawing,technologyparameter,sealedsamples,specificinspectionstandardprovidedbypartya,andapprovedaqlstandardbybothparties.第三条信息沟通communication1甲方在来料检验中,发现不合格产品,需对乙方开具供给商质量异常报告?,乙方需在日内对供给商质量异常报告?中质量问题de形成原因、纠正预防措施、举措实施时间等内容,以书面形式进行回复.对于甲方退货批次,乙方还需向甲方提供退货批次de处理方式和相关质量记录.oncepartyafindsthedefectsduringinhouseinspection,willissuethequalityexceptionreporttopartyb,partybshouldreplyinwrittenaboutthedefectroot,correctiveaction,improvingdate,etc.;ifgoodsrefundfrompartya,partybshouldgivetheresolvingwaysandkeepagoodrecord.2乙方每月需对甲方来料检验、生产制程和客服中心返还de需要索赔de产品进行分析,并在每月日前向甲方提供分析报告.partybshouldmonthlyanalyzetheinspectionreport,productionprocedure,andclaimsfrompartya,andprovidetheanalysisreportbeforedateeachmonth.3甲乙双方定期召开品质沟通会议,会议时间另由双方协商确定.bothpartieswillhavetheregularqualitysession,dateandtimeshouldbeconfirmedbybothparties.第四条问题解决及违约责任problemresolutionandbreachresponsibility1乙方对本协议第2,3,4条所列条款执行不利,且在甲方提出改良要求后乙方仍无改良迹象,甲方有权取消乙方de合格供方资格.ifpartybdoesntwellcooperateforclausetwo,three&fourintheagreement,stillnotimproveafterrequestingbypartya,andpartyahastherighttocancelthesuppliermembership.2. 2乙方应保证到货de型号规格与采购订单?和技术规格书?一致,并完全根据技术协议书?中de标准供货.对由于到料与采购订单?和技术规格书?中de标准不一致de,甲方有权要求乙方退货、换货,并按采购合同de约定承当相应de赔偿责任.partybshouldguaranteethegoodscodesandspecificationaresameasrequestedinpurchasingordersandtechnologyspecification;ifanydiscrepancy,partyahastherighttorejectgoods,requesttochange,orcompensateaccordingtothepurchasingorders.2. 3乙方应承当交货至甲方运输过程中出现de来料损坏、丧失、外包装破损等损失.partybshouldundertaketheresponsibilityforanydamage,lossofgoodsduringthetransportation.4. 4甲方在来料检验时对来料批判定为不合格批时,应及时通知乙方,乙方应当在小时内派人进行确认.partyashouldnotifypartybifunacceptabledefectsandpartybshouldassigntherelativequality&technologystaffstoconfirm,investigateandgivecorrectiveactionwithinhoursinwritten.4.5批量供货时,相同物料来料检验出现连续批次不合格；制程淘汰率连续个月超标/含等于或出现批量质量事件批次同种故障率=%或重大质量投诉.乙方产品出现以上任何一种情况,除乙方必须承当由此造成de一切损失外,甲方尚有权采取库存相关产品退货、罚款订单金额de%、暂停乙方供货,限期整改等举措.ifthesamecodeproductsoccurthecontinuousdefects,andthepercentageofdefectscontinuouslyexceedincludingequalto%/monthorthedefects=%inthesameshipmentlotorseriousqualitycomplaint,partybmustberesponsibleforallthelosses,partyahastherighttorejectallstockgoods,penalty%ofpurchasingamount,stoppartybtoprovidegoods,andrequesttoimproveinthelimitedperiod.a如乙方泄漏未经甲方允许私自保存或泄露甲方de机密资料造成甲方经济损失de乙方将承当因此而产生de所有经济及法律责任；ifpartybkeeporleakanyconfidentialinformationwithoutpermissionfrompartya,partybshallbearalltheeconomiclossesandlegalresponsibilities.b如乙方在向甲方供给de任何材料,零部件等中含有有关环境法规规定de对环境有害de材质,一经查出,乙方供给de任何材料、零部件在终端消费者使用时出现平安问题和对人体产生重大伤害问题,乙方将承当因此事件所产生de所有相关责任和费用,并负责赔偿给甲方所造成de所有木目关损失；ifpartybsupplythesparepartsofanymaterialcontainedintheenvironmentalregulationsofthematerialsharmfultotheenvironment,unsafelyproblemorharmfultohumanbeingatendcustomer,andpartybshallundertaketheeventofallrelevantobligationsandcompensateforpartsofallrelevantlosses.c以上损失在双方未协商好或未经司法机关裁定前,以乙方所有货款暂时作为抵押,甲乙双方将依最后处理结果予以相关责任履行；ifanylossesmentionedabovehappen,beforethefinalconfirmedsettlementcanbereached,orderpaymentwillberegardedasthecompensationmortgagetillgoodsettlement.4.6来料检验过程中出现以下状况时：belowproblemsduringtheinspection:来料批量与送样不符时：乙方应日内更换合格物料给甲方,不得延误甲方生产,如乙方原因导致甲方生产停线将按元/小时de标准赔偿甲方停产损失.ifpartsarediscrepancyassealedsample,partybshouldchangethequalifiedpartswithindays,cantdelaypartyaproductionline;ifpartyaproductionlinehavetostopcausedbypartybsunacceptabledefectsorunqualifiedparts,partybshouldcompensatepartyaasrmb/hour.来料不良导致：problemsbydefectsa. 虽不造成停产,但将导致甲方本批产品质量降等de,甲方应拒绝本批物料,乙方应及时处理并保证所供物料符合甲方品质要求,同时不阻碍甲方生产那么乙方无需赔偿.ifanyunacceptablepartsdefectsdownpartyasfinalfinishedgoods,partyashouldreject,partybshouldimproveandprovidequalifiedpartsontime,nottodelaypartyasproductionline.虽不造成停产,甲方代替乙方挑选使用de,由乙方承当挑选费用,并无偿调换不良品；如乙方派相关人员到甲方配合加工车间挑选,那么乙方只用合格品无偿更换不良品.ifanyunacceptabledefectsfrompartyb,needpartyatosortouton-site,partybshouldbearthereworklaborcost,andchangetheunqualifiedpartsforfree;ifpartybassignworkerstosortoutdefectsinpartyasworkingshop;partybalsoneedstoexchangetheunqualifiedpartsbyusingqualifiedparts.4.7因乙方产品质量问题,导致甲方用户多批次投诉,影响甲方产品声誉de,甲方可要求乙方承当相应de责任(按当批次产品金额de%或付给甲方).iftheendcustomercomplaintscausedbyunqualifiedpartsprovidedbypartyb,anddownpartyasgoodsreputation,partyahastherighttogiverelativecompensation(referringto%ofthelot).4.8由乙方产品质量问题导致de甲方产品售后出现质量事故,经甲乙双方调查确认后,乙方应承当所供甲方de相关产品单价倍损失.iftheseriousqualityissuehappenscausedbypartsprovidedbypartybinatendcustomer,afterbothpartiesconfirmtheissue,partybshouldcompensatereferringtotimesofproductsprice.4.9甲方采用乙方产品生产出de成品,可能会接受国家、各地方质量监督部门、特殊客户等第三方不定期de抽检,如抽检中发现由乙方产品未到达国家标准而引起de甲方成品de任何不合格,经甲乙双方确认后,乙方应承当第三方de检验费用和其他相关费用；同时甲方保存因此而造成对甲方名誉损害和经济损失对乙方进行索赔de权利.thefinalfinishedgoodsproducedbypartyamaybeauditedorrandominspectedbythestate,localqualitybureauorspecialcustomerorthe3rdparty,iffoundunqualifiedgoodscausedbypartsprovidedbypartyb,afterbothpartiesconfirmtheissue,partybshouldbeartherelativetestingandinspectionfeeorotheradditionalfee;atthesametime,partyaretaintherighttoclaimtoareputationfordamagesandeconomicloss.第五条争议de解决disputes双方在履行本协议过程中如发生争议,应友好协商解决.假设协商未成,任何一方均可向甲方所在地有管辖权de人民法院提起诉讼.alldisputesinconnectionwiththeexecutionofthiscontractshallbesettledfriendlythroughnegotiation.incasenosettlementcanbereached,eitherpartycanlawsuittothelocalcourtthathasjurisdiction.第六条杂项miscellaneous6.1甲乙双方如有对本协议de补充和说明,双方应另行协商.theagreementwillberenewedorsupplementalifbothpartiesmutuallyagreedinwritten.6.2本协议为采购协议?de附件之一,自甲乙双方法定代表人或授权代表签字并加盖法人公章之日起生效,有效期至双方协商签订新协议或停止合作时止.本协议壹式二份,具有同等de法律效力,甲乙双方各持一份.inwitnesswhereof,thisagreementisdulyexecutedataboveeffectivedatebydulyauthorizedrepresentativesofbothparties,remainsvaliduntilthetwopartiesnegotiateanewagreementorceasecooperation.theagreementhas2originalcopiesheldbybothparties,andhassamelegalvalidity.公司名公司名companynamestampcompanynamestamp法定代表人法定代表人legalrepresentativelegalrepresentative日期日期datedate以上资料仅供参考，如有侵权，留言第一时间删除！
