.外贸佣金合同范例外 贸 佣 金 合 同甲方：（生产厂家）乙方：（中 间 人）根据中华人民共和国合同法和有关法律法规的规定，乙方接受甲方的委托，为甲方产品寻找海外客商，双方经协商一致，签订本合同。第一条：委托事项： 甲方委托乙方寻找海外客商。第二条：委托事项的具体要求：（1） 甲方应保证所生产产品的合法性及保证产品质量，若出现产品质量问题和其他不合法问题，后果均由甲方承担。（2） 海外客商交易的具体价格、交货方式、支付方式等由乙方与海外客商双方协商约定，但乙方需要和甲方沟通并争得其同意。（3） 乙方不对甲方与海外客商的交易提供任何信用担保，甲方应严格按国家和国际的FOB C&F或 CIF条款执行与海外客商所签定的合同。（4）为方便乙方联系业务，甲方需要及时提供除乙方本职以外的所有便利，货款达到甲方帐户后，甲方应及时通知乙方，以便乙方开展下一步工作。 （5）在整个过程中，乙方只承担自己联系客户的电话费，上网费，路费，自己的饭费，招待费，其他一切费用都由甲方承担。（6）乙方只负责联系客户，签定合同，其他所有工作都由甲方完成。（7）在佣金合同期满之前，凡是乙方为甲方联系的客户，甲方不能不通过乙方而直接和乙方联系的客户签定合同，一旦乙方发现，甲方除了支付该合同相应的佣金给乙方外，甲方还需要支付销售额的5%作为罚金支付给乙方。（8）若销售合同在佣金合同结束之前签定并收到客户定金，而生产或此销售合同的终止在佣金合同期满之后执行，则甲方需要继续按照佣金合同所规定的佣金率支付此销售合同中相应的佣金给乙方。（9）在佣金合同期满之前，乙方在甲方履行该合同的情况下，不得随便将订单转移到别的工厂；在佣金合同期满之后，甲方如果想跟乙方所联系的客户直接联系业务，需征得乙方的同意，协商方可。否则甲方需要继续按照佣金合同所规定的佣金率支付所发生业务金额相应的佣金给乙方。第三条：佣金的计算、给付方式、给付时间：（1） 甲方同意按每笔合同成交总额的3%支付佣金给乙方。（2） 给付方式及时间：在甲方与乙方所介绍的海外客商签定合同并收到定金后，甲方应支付总佣金的30%给乙方，该供应合同在收到客户的大部分余款后的5天之内支付余下的佣金给乙方。（若在收回余款时，由于银行费用或其他的一切原因而造成与实际应收货款相差，范围在300美金或300美金之内，甲方不得因这个问题而拒绝支付或拖延支付乙方佣金）。若为全额信用证，则在甲方收到货款后，5天内支付总佣金给乙方，其他同上！第四条：违约责任：（1） 甲方若不按本合同第三条的（2）执行，逾期一天应支付乙方滞纳金，滞纳金系数为：总佣金的5/天。（2） 甲方同意凡乙方所介绍的海外客商，其将来与甲方发生的每笔业务，甲方都将按本合同的第三条支付佣金给乙方，否则，甲方愿接受合同成交额的30%罚款支付给乙方。第五条：关于销售合同中止问题在乙方联系好业务并开始生产和采购后，若是由于甲方的原因中止了乙方与外国客户的销售合同，则甲方要承担国外客户的损失，并还要继续支付乙方该笔销售合同应得的佣金。若是由于国外客户的原因造成合同的中止，则甲方不支付乙方的佣金！乙方不承担任何损失和后果！第六条：争议解决方式对违约行为若双方协商不成，可凭此合同向人民法院提出诉讼。第七条：本合同未尽事宜双方协商解决。本合同一式贰份双方各执壹份具有同等法律效用。本合同双方签字盖章（或按手印）即为有效。 m#bJAW 5本合同有效期限从_年_月_日 到 _年_月_日有效，有效期_年。甲方：乙方：日期：销售代理协议英文合同范本/外贸经纪人佣金合同作者:匿名来源:网络Sales Agency Agreement合同号：NO：日期：Date：为在平等互利的基础上发展贸易，有关方按下列条件签订本协议：This Agreement is entered into between the parties concerned on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follows:1. 订约人Contracting Parties供货人（以下称甲方）：销售代理人（以下称乙方）：甲方委托乙方为销售代理人，推销下列商品。Supplier: （hereinafter called party A）Agent:（hereinafter called party B）Party A hereby appoint Party B to act as his selling agent to sell the commodity mentioned below.2. 商品名称及数量或金额Commodity and Quantity or Amount双方约定，乙方在协议有效期内， 销售不少于*的商品。It is mutually agreed that Party B shall undertake to sell not less than. of the aforesaid commodity in the duration of this Agreement。3. 经销地区Territory只限在.。In . only.4. 订单的确认Confirmation of Orders本协议所规定商品的数量、价格及装运条件等，应在每笔交易中确认，其细目应在双方签订的销售协议书中作出规定。The quantities, prices and shipments of the commodities stated in this Agreement shall be confirmed in each transaction, the particulars of which are to be specified in the Sales Confirmation signed by the two parties hereto.5. 付款Payment订单确认之后，乙方须按照有关确认书所规定的时间开立以甲方为受益人的保兑的、不可撤销的即期信用证。乙方开出信用证后，应立即通知甲方，以便甲方准备交货。After confirmation of the order, Party B shall arrange to open a confirmed, irrevocable L/C available by draft at sight in favour of Party A within the time stipulated in the relevant S/C. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for arbitration in accordance with its provisional rules of procedure. The decision made by this Commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party ,unless otherwise awarded.11. 其他条款Other Terms & Conditions(1) 甲方不得向经销地区其他买主供应本协议所规定的商品。如有询价，当转达给乙方洽办。若有买主希望从甲方直接订购，甲方可以供货，但甲方须将有关销售确认书副本寄给乙方，并按所达成交易的发票金额给予乙方*%的佣金。Party A shall not supply the contracted commodity to any other buyer(s) in the above mentioned territory. Direct enquiries, if any, will be referred to Party B. However, should any other buyers wish to deal with Party A directly, Party A may do so.
