China, as well as the Personnel Regulations of Guangdong Labor Contract, Valmont Industries (Guangdong) Ltd. employs Party B (the employee) as a contract employee. Both parties to this contract sign on the basis of equity, free will, and mutual benefits.第1条 合同期限Contract Period1.1 本合同有效期自200_年_月_日至200_年_月_日止含试用期_个月。The contract period of employment will be valid from _/_/_ (M/D/Y) to _/_/_ (M/D/Y). During which the period of _ months will be considered as probationary employment.1.2 在试用期,甲发现乙不符合录用条件的,甲可以即行解除本合同。Party A has the right to terminate Party Bs Labor Contract immediately without notification if Party B does not prove to be suitable through the period of probationary employment.第2条 工作岗位、任务Positions, duties & Responsibilities2.1 甲安排乙在_部门_岗位工作,覆盖岗位为_ Party A (the employer) employs Party B (the employee) in the capacity of2.2 乙必须按照甲规定的岗位职责和要求全面完成指标和任务,并承受甲对其进展的有关考核测评。 Party B is required to fulfill his/her responsibilities pletely and accurately as described by Party A and accept performance measurement handled by Party A2.3 甲根据生产经营需要及乙的工作技能和表现,可变更乙的工作,乙须服从甲的调动,如无正当理由,不服从调动者,甲可辞退乙,解除其劳动合同。Party A has the right to adjust Party Bs position according to the actual business situation and the performance of Party B. Party B must accept Party As arrangement.第3条 工作条件、劳动保护Labor Conditions & Labor Protection3.1 甲实行每40小时工作制。对特殊岗位可实行不定时工作制。 Party Bs normal working time will not e*ceed 40 hours per week, whereas its fle*ible for some special position holders.3.2 甲因生产经营原因需要乙加班时,乙应服从。同时甲应按规定支付乙加班费报酬作补偿。If it is necessary for Party A to request Party B to put in overtime, Party B must be subordinated to request of Party A. Party A shall provide Party B with economic pensation according to relevant regulations.3.3 甲为乙提供必要的工作条件,根据劳动法则提供符合中国政府规定的劳动平安卫生条件和提供必要的劳动保护用品,保证乙在人身平安及个体不受危害的环境条件下工作,对女职工及未成年工按?劳动法?的规定酌情予以特殊劳动保护。Party A must provide Party B with a safe and non-to*ic working environment, necessary safety measures to guarantee safe working conditions of Party B, according to National Safety and Sanitation Standards. Party A shall provide special protection measures for female and underage employeesaccording to the Labor Law.3.4 甲认为乙的安康状况将会对工作或其他员工造成不利影响时,甲有权按制度采取相应的措施,并有权要求乙进展安康检查,乙不应拒绝。If Party A thinks Party Bs healthiness will effect to the work or other staffs, Party A will have the authority to correspond and will have the authority to ask Party B to have a physical check-up, at same time the Party B should not to refuse.3.5 乙在被聘用期间,甲负责对乙进展岗位职责、技能、平安规程、职业道德及相关规章制度的教育和培训,乙须积极配合,并根据岗位职责要求努力提高自身的技能。Party A is in charge of various training such as technical training, Position principles, safety operations, panys regulations and provision, etc. within the employment period. Party B shall accept the training with positive attitude for raising his/her work efficiency.第4条 劳动报酬Payroll4.1 公司实行部薪酬管理制度,甲依据按劳取酬准则、企业经营状况及岗位确定乙的薪酬标准,并按有关规定支付。Party A implements panys internal salary system. Party A will pay Party B monthly salary based on the following conditions: the actual business situation, the level of Party Bs position and the general principle of “distribution according to work.4.2 公司在实行新工资制度、调整员工工资水准或当乙岗位职务发生变化时,甲可根据政策给予乙以工资待遇调整。Party A has the right to adjust the salary standard of Party B if Party A implements new salary system, or transfers the position of Party B.4.3 每月最后一天为甲的当月薪金发放日。Salary will be given to Party B on the end of month.第5条 社会保障和福利待遇Social Insurance& Fringe Benefits5.1 在劳动合同期甲按照中国政府有关规定为乙办理养老保险、医疗保险、住房公积金、失业保险等手续。Party A should provide the pension, medical insurance, unemployment insurance and housing fund for Party B within the contract period according to the relevant government laws.5.2 甲为乙提供因伤病、工伤、职业病及方案生育而发生医疗费用保险,并创造条件办好员工福利。Party A shall provide the following social insurance for Party B: disease and injuryrelated to work, occupational disease, pregnancy within family planning and handle necessary collection welfare enthusiastically.5.3 乙在甲工作期间不满一年的可享受累计3个月的停工医疗期,工作时间每增加一年,累计停工医疗期增加一个月,最多不超过24个月。Party B has the right to have 3 months work-off medical treatment if he/she works for Party A less than one year. One more month work-off medical treatment will be permitted with the one more year employment. The total work-off medical treatment is limited within 24 hours.5.4 乙享有规定的法定节假日、婚丧、探亲、生育假以及年休假等有薪假期。Party B has the right to enjoy public holidays, marriage leave, funeral leave, home-visit leave, family planning leave, new-year holiday,pany holidays, etc.5.5 乙因工作或非因工死亡的待遇等按中国政府的法规执行。 Party Bs pensation for the death of working accident etc. is e*ecuted according to the prevailing rules and regulations enacted by the government.第6条 劳动纪律和奖惩方法Labor Discipline and Reward6.1 乙在合同期必须格遵守法律法规,熟知并遵守本公司?员工手册?和各项规章制度。Party B must obey State Laws and Regulations, the joint venture Employee Handbook and the bylaw of pany.6.2 甲依照本公司?员工手册?,对于模遵守规章制度和为公司经营、生产和开展作出重大奉献的员工予以奖励;对于违反规章制度的乙予以处分。Party A will reward the model employees who perform panys discipline perfectly and make a big contribution to operation, production and development of panys business. Party A will disciplinary the employees who breach panys Employees Handbook.第7条 合同变更、续订、终止和解除Contract Renew and Termination7.1 合同双在履行本合同过程中确因客观情况发生重大变化,可变更本合同的有关容,但需双协商并办理变更手续。Both Parties have the right to change the contracts due to not be estimated e*ternal conditions during the actual contract process with necessary negotiation and procedures.7.2 本合同期满即行终止,甲乙双如需延长劳动合同期限,应在合同期满前30天,续订延长合同期手续。乙在本企业工作满10年以上,如甲乙双同意续延劳动合同,可以签订无固定期限的劳动合同。The e*piration date of signed contract will be considered as the natural termination. If either Party A or Party B intends to continue this contract, such intent shall be delivered to the other party 30 days prior to the processing of contract termination based on the mutual negotiation. Party B had the right to sign life contracts with Party A based on 10 years working for Party A and permission of Party A.7.3 乙到达规定的退休年龄或因病丧失劳动能力提前退休时,劳动合同自然终止。The Labor Contract e*pires naturally when Party B is in the retirement age or loses the capabilities due to disease.7.4 符合以下情况之一的,甲可以解除本合同,辞退乙。Party A has the right to terminate the contract due to the following conditions. 7.4.1 在试用期,甲认为乙不符合录用条件包括但不限于乙提供的个人情况不实,乙的试用表现不符合甲要求等项情况; Party B doesnt prove to be suitable through the period of probationary period. (it including and be not limited that the situation which Party B provides is not true, and Party B doesnt pass through the period of probationary.) 7.4.2 乙重违反劳动纪律或甲规章制度,以及公司?员工手册?规定可以辞退的; Party B acts in any way that is in serious violation of general Labor discipline or violation of other regulations, or violation of Handbook.7.4.3 乙被依法追究刑事责任或被劳动教养的;Party B breaks State law, and has been sentenced to punishment or forced labor. 7.4.4 重失职、营私舞弊,对甲利益造成重大损害的。Party B is in serious neglect of duty, or engages in grafts.7.4.5 合同期间发生方案外生育者,按政府规定立即解除劳动关系。 Party A will terminate the Labor Contract with Party B who doesnt abide by the family planning according to related regulations.7.5 有以下情况之一的,甲可以解除劳动合同,但是应当提前30天通知乙。Party A has the right to terminate Party Bs Labor Contract in any of the following situation with willing to inform Party B 30 days in advance. 7.5.1 乙不能胜任工作,经过培训或调整工作岗位后仍不能胜任工作的;Party B is deemed inpetent even following additional training or adjustment of position. 7.5.2 乙因病或非因工负伤,在规定医疗期满后,不能从事原工作的,也不能从事由甲另行安排工作的; Party B with diseases or non work-related injury, and after the treatment which does not e*ceed the prescribed period, Party B cannot take the original work or other position arranged by Party A. 甲宣告解散或者经营期满的; Party A faces termination of the joint venture contract. 7.5.4 企业濒临破产处于法定整顿期或因生产经营状况发生重困难需裁减人员时; Party A is facing bankruptcy or reorganized serious difficulties of operational to reduce employees. 7.5.5 “约定规定可以解除劳动合同的情况出现时。The conditions of Agreement attached to Labor Contract later.7.6 符合以下情况之一的,甲不得解除劳动合同。Party A cannot terminate Party Bs labor contract based on the following situations. 7.6.1 乙患病或负伤在规定医疗期的;Party B has contracted disease or non-work related injury, and required treatment does not e*ceed the prescribed period. 7.6.2 乙因工负伤或患有职业病在疗养期间和疗养终结后,经劳动鉴定机构确认大局部或全部丧失劳动能力的; Due to any work related injury or occupational disease, Party B is either engaged in period of treatment/recuperation, or the employee has pleted such treatment/recuperation and has lost part or all the capacity to work, as configured by the Labor Appraisal mittee. 7.6.3 实行方案生育的女在孕期、产假期和哺乳期的重违纪的乙除外;Party B is evolved in a period of pregnancy within family planning, post-natal or breasts feeding (e*cept the serious violation of panys provision).7.7 符合以下情况之一的,乙可以书面通知甲,提出解除劳动合同,其中7.7.4和7.7.5必须提前一个月通知。Party B has the right to terminate this Labor Contract in any following situations. 7.7.1 在试用期的,乙不适应工作要求的; During the period of probationary employ, Party B cannot suit and engage this job.甲不按照本合同规定向乙支付劳动报酬或提供劳动条件的; Party A cannot pay party Bs salary or the necessary protection facilities in accordance with its contract. 7.7.3 甲以暴力、威胁或者非法限制人身自由的手段强迫乙劳动的; Party B is forced to be work by Party A with violation or threat. 7.7.4 乙因就学、出国出境定居,不能履行劳动合同的; Party B goes university or abroad, cannot carry out labor contract. 7.7.5 其他符合规定、可以解除劳动合同的。 Party A cannot carry out this contract with the required regulations and laws of Government.7.8乙申请辞职并经甲同意,劳动合同可以解除。但应提前三十天通知甲,手续齐备后可办理解除劳动合同手续。In the case that Party B intends to terminate this labor contract, based on the negotiation and approval by Party A, Party B shall deliver his/her resignation in writing to Party A 30 days prior to the processing of contract, then Party B go through necessary formulations of termination.7.9 终止或解除本合同后,乙的去向问题由乙自行解决。甲按规定为乙办理劳动关系转移手续。Party A must transfer Party Bs Labor Files to the required Bureau according to the relevant Laws. Party B shall solve his/her job problem by himself/herself.第8条 兼职规定Part-time Job Policy8.1 兼职是指乙与甲劳动关系存续期间,不管受薪与否,与其他用人单位发生劳动关系或为其他用人单位提供劳务的活动。乙未经甲书面同意,不得从事任与本职工作有关的兼职活动。 Part-time job is the activity which Party A has the labor relation or provides the service for other pany within employment period of Party A, without reference to giving the salary from the other pany or not. Party A should not engage the Part-time job which has the relation to pany business without Party As agreement.8.2 确属情况特殊,甲书面同意乙在外兼职的,须以不影响在甲的工作和保守甲的商业秘密为前提。 If Party B has the agreement of part-time job giving from the Party A in especially situation, Party B could not to effect the employ work and keep the business secret of Party A.8.3 甲有权通过各种途径对乙擅自在外兼职的情况进展调查,如有必要,乙须配合甲的调查工作。 Party A has the authority to investigate Party Bs part-tine job without Party As agreement. Party B should be cooperate with Party A for investigation.第9条 及附随义务Keep Secret and Employees Incumbency9.1 乙在甲工作期间接触到的资料、图纸、信息均视为甲企业所有的知识产权和商业秘密,未经甲书面同意,均不得私自对外泄露。 It will be treated to Party As property right and business secret which Party B gets to information, drawing, munication within the employment period. Party B could not leak out the information without Party As agreement.9.2 约定: Secret agreement9.2.1 公司的员工不得卷入任与公司的商务利益有冲突的活动; Party B should not entangle any activity which conflict with panys benefit. 9.2.2 公司的员工与正在同公司进展商务活动的供应商、承包商、客户和其他人员交流和交往时,必须保守公司的商业秘密,以公司的平安、利益和质量为最高标准,决不能损害公司的利益。Party B should keep panys business secret when Party B municates with the suppliers, contractors and other customers. Party B should be sure to not damage the panys benefit according to the panys safety, benefit and quality standard.9.2.3 公司的员工在日常的与外界交流、交往过程中,不得擅自外传和泄露公司商业秘密; Party B should not blow the panys business secret when municating with the outside of pany.9.2.4 从事掌握公司实质性部资料设计与工艺、市场与销售、采购和财务等专业与管理岗位;大自动焊机、自动切割机、机械设备管理维修等岗位工作的员工必须遵守职业行为约束,在从甲离职后二年后,不能从事本行业或与本公司利益密切关联的工作,以保证甲的利益得到维护。Party B who grasps the panys important data and information should obey the agreement and should not engage in the positions which influence the panys benefit. (Such as design, technology, marketing, sales, purchasing, equipment, finance, auto-weld machine operator for large pole, auto-cut machine operator, maintenance, etc.). In order to vindicate panys benefits, Party B should not engage in the position that is associated with panys benefit.9.2.5 公司实行工资制度,乙不得打听和讨论他人的工资;Party B should not discuss salary with others according to panys salary system.9.2.6 公司员工如有违反上述规定的行为,按公司管理制度的相关规定处理并需承担相应的法律责任。If Party B disobeys panys system, Party B will be punished and should assume the legal burden.9.3 双劳动关系完毕一,乙应按甲要求办妥离职手续。乙须根据公司“移交清单要求向公司指定人员办理工作、资料、相关物品的移交手续,“移交清单经甲书面确认后视为移交完毕。 Party B should transact demission procedure according Party As requirement within a week after employment period. At the same time, Party B will transact the work, information, articles and must be gotten the confirm form the Party A.9.4 乙应自觉维护甲企业的形象和声誉,保守甲的知识产权和商业秘密,在离开甲公司后,不得散布对甲不利的言论和作出对甲不利的行为。Party B should vindicate Party As visualize and report, and should keep Party As property right and business secret. Party B should not spread the saying and act the activity that adverse for Party A.第10条 违约责任Liabilities Resulting from Breach of Contract10.1 甲乙双必须履行劳动合同,乙假设违反本合同规定或约定,给甲造成经济损失的,须承担经济赔偿责任。具体赔偿金额按责任、损失的大小程度和有关规定确定。Party A & B must fulfill the contract. Each party is liable for losses sustained by the other party that result from breach of contract. Specific cash amounts of repense will be set depending on the degree responsibilities for the loss, on the size of the loss and on the relevant regulations.10.2 乙违反保守商业秘密义务的,应向甲支付违约金,违约金数额相当于乙的12个月全额工资,并赔偿甲因此所遭受的损失。If Party B disobey to keep the business secret, Party B should pay the breach of faith fee. The amount is equal to 12 monthly salary of Party B. Party B should also pay for loss of Party A.10.3 如果乙在本合同期,由甲出资培训含境外实习、进修需要延长合同期限的;由甲乙双另行签订协议。如乙在合同期受过甲出资培训,因个人情况辞职或者自行离职,需按甲规定赔偿相应的培训费用。If, within the period of validity of this labor contract, Party A provides Party B with training (including overseas training), both sides need to consult prolongation of this contract. If Party B resigns, Party A has the right to claim the repense of training. Specific cash amounts of repense will be set depending on the degree responsibilities for the loss, and on the relevant regulations.10.4 乙因其他行为对甲造成损失的,应当根据其造成的实际损失情况赔偿甲相应的损失。If Party B was causes damage on Party A. Party B should pay to Party A. 10.5 上述赔偿费用甲可以按照有关规定在支付乙劳动报酬时,要求乙同时支付。The Mount which Party B should pay to Party A will be deducted in reward of Party B.第11条 劳动争议Labor Contentions11.1 甲乙双因履行本合同而发生劳动争议时,适用劳动争议程序。If during the binding period of this contract, Party A & B encounter a dispute that cannot be resolved, this dispute should be handled according to the official procedures of Labor Contention.11.2 劳动争议由双协商解决,也可由一或双自劳动争议发生之日起60天向甲所在地劳动争议仲裁机构申请仲裁。Both sides can settle the dispute bilateral, or can also appeal to Labor Contention for arbitration within 60 days.第12条 其他Others12.1 在签署本合同书时,甲已向乙出示了本公司?员工手册?以及有关规章制度,乙经充分了解阅读后予以承受,同意甲公司的?员工手册?以及有关的协议和规章制度为本合同的有效组成局部。The panys Employees Handbook and other documents will be appended to this contract. Party B has read and accept the handbook.12.2 约定事项 Special agreement a 竞业限制约定:甲和与本合同9.2.4款规定围相符岗位的乙在本合同终止或解除后,双约定的竞业限制为2年。竞业限制期乙负有保守甲商业秘密的义务,同时不得自营或从事为他人/公司与本公司产品有竞争的产品业务一样、相近或相类似产品的生产、制造、销售或代理等;甲支付给乙的工资待遇中已包含经济补偿费用。Assumpsits for contest trade restriction: after terminating or unchain the contract, Party A and Party B agree that contest trade restricting is 2 years. Within contest trade restricting period, Party B will have the duty for keeping the Party As business secrecy. At the same time, Party B has no right to self-support or engage in the production operation for others or other panies which have sameness or similar production business on producing, selling and agency etc. Party A will be supply pensate with Party B (Party Bs payroll has including it)b 违约补偿:根据省劳动合同条例规定,乙假设违反竞业限制约定,且给公司带来经济损失时,公司有权通过诉讼提出索赔。pensating for breach of faith: according to the Bylaw of Guangdong Labor Contract, if Party B breaches of faith and bring on economic loss for Party A, Party A has the authority to bring forward counterclaim.12.3 乙假设有指定通讯地址的变更,其有责任在变更后的一以书面形式通知甲,否则甲送达本合同所示的通讯地址或已书面通知过的变更地址的所有通知,均应视为乙送达。If Party Bs Post Address changed, Party B should be notice to Party A in one week.12.4 本合同一式两份,甲乙双各执一份,经双签字后生效。两份合同具有同等法律效力。本合同以中英文同时书写,假设中英文容不一致时,以中文文本为准。This contract will be issued in two identical copies. Each copy will valid upon being signed (stamped) by both parties, and each party will take away an original copy. This contract will be issued both in Chinese version and English version. If the English version of this contract is in contradiction with the Chinese version of the contract, Chinese version will be adhered to.12.5 本合同一经签订,双应格遵守,不得擅自修改合同容。如有未尽事宜需变更本合同的,应经双协商同意后办理合同变更手续。Both parties shall abide the signed contract and have no right to amend it. If there is any other things need to be amended, both parties should negotiate the content.12.6 本合同条款如与中国法律、法规和政策相悖时,以中国法律、法规和政策为准。In any instances that a section of this contract is in contradiction with the laws, regulations or policy of government, the later will be adhered to.12.7 本合同标准文本送甲所在地人民政府劳动局鉴证。This contract shall be checked and ratified by local government labor bureau.甲:维蒙特工业* 乙:Party A: Party B:甲代表签字: 乙签字:Signature: Signature:日期: 日期:Date: Date:. z.
