在职股权分配协议篇一:股权分配协议 股权分配协议 甲方: 身份证号码: 乙方: 身份证号码: 丙方: 身份证号码: 甲乙丙三方就投资合作经营很多人网络科技有限公司达成如下投资合作协议: 一、投资合作背景 1.1 资本为人民币 万元整,资本投入按各人约定所占股份比例分担。 二、合作与投资 2.1 合作方式 三方共同投资,共负风险,共享利润。 2.2 投资及比例 2.2.1 三方各自投资额及比例如下: 甲方: 叶大卫 投资 陆万元人民币 乙方: 何泓浩 投资 肆万元人民币 丙方: 郑策投资 肆万元人民币 三方约定甲方占有股份公司股份_46_%;乙方占有股份股份_26_%;丙方占有股份公司股份_23_%,剩余 5 % 为预留股份。 2.2.2 三方应于2016年4 月 30日前将投资款缴纳于指定账户,由甲方分别向乙方、丙方出具财务收据。 三、收益分配 3.1 利润分配比例 3.1.1 三方经营很多人网络科技有限公司期间的收益分配以三方实际所占公司股份比例予以分配。 3.1.2 利润分配计算及时间 3.1.2.1依照严格的财务管理制度和公司章程所规定提取相应的发展基金或公益金等之后予以核算公司的可分配利润。 3.1.2.2 公司年度财务结算周期为上年12月至本年11月,收益兑现在阳历年底进行。年终核算由公司财务核算利润并予以分配。 四、转让投资或股权份额 4.1 不论三方是否作为股东办理了工商变更登记,自本协议生效之日起二年内,三方均不得转让投资或转让股权份额。 4.2 本协议生效之后,一方要转让投资或转让股权份额,需提前2个月通知其它合作方且取得其它合作方的书面同意,其它合作方有优先认购权。在其它合作方既不同意转让投资或转让股权、也不认购所转让的投资或股权份额时,转让方可以向三方之外的他方转让投资或转让股权份额。 五、风险承担 5.1三方在职期间,不得在与本公司有同类业务的单位任职,不得以自己名义或近亲属名义经营或伙同他人一起经营与本公司有竞争关系的同类业务。甲、乙、丙三方在职期间从事上述经营活动的行为视为非法行为,公司有权无条件没收其的股份,并依情节严重与否对其追究法律责任;公司也有权没收其所有非法行为产生的收入,有权收回其非法行为发生日开始至非法行为终止日为止从公司取得的工资、奖金、补贴等所有不当收入。 5.2甲、乙、丙三方在离职3年内,不得在与本公司有同类业务的单位任职,不得以自己名义或近亲属名义经营或伙同他人一起经营与本公司有竞争关系的同类业务。甲、乙、丙三方在职期间从事上述经营活动的行为视为非法行为,公司有权无条件没收其的股份,并依情节严重与否对其追究法律责任。 5.3甲、乙、丙三方在经济上需要保持廉洁,若发现有违规操作,则对其进行违规操作金额的10倍处罚。 六、股权变更登记 6.1 股权变更之后三方的持股比例以三方实际所占公司股份比例予以分配。 七、合作经营管理 7.1 合作经营期间,由甲方出任法人代表,三方另有约定的除外。 7.2 合作经营期间的公司管理、业务拓展、财务管理、人力资源配备及薪资等事项及其它重大问题由三方共同决定,实行股份决策制,股份持平时以票数决定。 八、未尽事宜 其它未尽事宜三方共同协商。 九、附则 本协议壹式叁份,甲、乙、丙三方各持壹份,签字后立即生效。 甲方签字: 日 期: 期: 丙方签字: 日 期: 乙方签字:日篇二:员工入股协议书 员工入股协议书 甲方(企业): 法定代表人: 联系电话: 住址: 乙方(员工): 身份证号: 职务: 联系电话: 为了构建公司利益共同体,强化公司内部的激励机制和约束机制,增强员工的主人翁地位和主人翁意识,促进公司增效、员工增收、增强公司凝聚力,甲方决定允许部分员工入股本公司。 甲乙双方本着诚信、友好、自愿、公开、公平、互助、共赢的原则,签订本入股协议书,以兹双方共同遵守。 第一条 持股方式 1、内部员工持股主要采取出资购股和奖励股权两种取得方式。 出资购股是指内部员工有偿取得公司的部分或全部产权的持股方式; 奖励股权是指甲方对有突出贡献的经营管理者、技术骨干和员工直接给予股权奖励的持股方式。 2、内部员工持股由持股员工以自然人的身份直接持有。 第二条 经财务审计,甲乙双方认可,甲方现有资产总额为人民币 元(即为甲方公司总股份的100%),共分为股,每股为 元。 第三条 乙方持股比例及持股时间: 1、出资购股部分:乙方自行出资共计人民币%。此部分乙方出资购股的股份,将按实际持股比例按照相关法律法规、公司章程和本协议书享受权利及承担义务。 2、出资方式,购股时由乙方一次性转入相应的购股金额到甲方指定的银行账号: 开户银行:,户名:。 3、奖励股权部分:甲方以激励方式一次性无偿奖励给乙方公司股份共股,占公司总股份 的 %,该奖励股份部分只限于乙方按持故比例享受分红; 4、入股时间:出资购股部分自年月日起计算(生效);奖励股份部分自年月日起计算(生效)。 第四条 利润分享和亏损分担 1、甲乙双方按各自股权比例(占甲方公司总股权的比例)分担共同投资的亏损,乙方按出资购股比例和甲方给予的奖励股权比例分享共同投资所获的利润。2、甲乙双方各自以其所占的实际股份(出资额)为限对共同投资承担责任。 3、甲乙双方共同出资形成的股份及其孳生物为甲乙双方的共有财产,由甲乙双方按其所持股份比例共同享有。 4、甲乙双方共同占有公司的股份转让后,甲乙双方有权按其各自所占股权(出资)比例取得相应财产。 第五条 利润分配时间及分配方式 1、净利润:是指在利润总额中按规定交纳了所得税以后公司利润留存,一般也称为税后利润或净收入。每月收入扣除税费、成本(材料、人工、制费)、费用(管理费用、销售费用、财务费用)等所有应支出后,是为当月纯利润。 2、分红日期:每年元月底前(一次性分/年)。 3、分配方式:每年1次,拿上年度净利润的70%按乙方持有的出资比例与奖励股权进行分红;剩余30%作为公司的发展基金,在乙方退股时由甲方按乙方所持有的出资比例与奖励股权无条件一次性返还给乙方。 第六条 奖励股权的收回 1、甲方根据本企业经营状况及乙方的工作成绩,可以决定部分或全部收回奖励给乙方的奖励股权(此为乙方职务调整或有重大过错或故意损害公司利益的情况下,经甲方公告或书面通知乙方),被收回奖励股权的持股员工自甲方做出收回决定之日起不再享受该奖励股权部分的分红。 2、乙方与甲方劳动关系终止时,甲方奖励给乙方的奖励股权即由公司全部收回,同时甲方必须据实一次性支付乙方劳动关系终止日上一年度的相应的分红(劳动关系终止日当年的分红可视具体情况由甲方决定是否支付)。注:劳动关系终止包括劳动合同到期未续签和自动离职、因故被辞退或解聘、被开除等劳动合同解除的情形。 第七条 出资购股的退股 1、自本协议签订日起3年内,如乙方正常辞职申请退股的,甲方应按乙方原出资额购回乙方所持有的股份,甲方可视具体情况决定是否给乙方申请退股当年的分红;如因乙方自动离职、因故被辞退或解聘、开除等劳动合同解除而终止劳动关系的,甲方按劳动法律法规和公司规定给予相应处分后,应按乙方原出资额购回乙方所持有出资购股的股份,但可不给乙方申请退股当年或上一年度的分红。 2、如因乙方泄露公司机密造成甲方损失的,即视为乙方自愿退股,甲方可以其所持股份抵扣赔偿并可起诉乙方。 3、如甲方未履行本协议或作出有损乙方利益的行为,则乙方有权立即退股,甲方必须无条件购回乙方所出资持有的股份,并按中国人民银行现行年存款利率的1.5倍一次性赔偿乙方自入股日到退股日期间的利率损失。 4、自本协议签订日起,如乙方在甲方公司任职满3年,不论乙方是否在职,甲方都不得以任何理由收回或购回乙方出资购买的股份,除乙方书面申请退股外。第八条 持股员工的永久持股权 1、乙方为甲方服务满3年以上的,乙方有权终身享有按其出资购股所持有甲方股份比例分红的权利,该权利不因乙方劳动关系的终止而终止;未经乙方申请或书面同意,甲方不得收回或购回乙方所持有的股份。 2、乙方的永久持股权为乙方出资购买的股权,不包括甲方奖励的股权。 第九条 违约责任 本协议正式签订后,任何一方不履行或不完全履行本协议约定条款的,即构成违约。违约方应当负责赔偿其违约行为给守约方造成的一切直接和间接的经济损失。 第十条 适用法律及争议解决 1、履行本协议适用中华人民共和国现行法律。 2、若因履行本协议所发生的争议,甲乙双方应友好协商解决,协商不能解决的,任一方可向原告方所在地人民法院提起诉讼。 第十一条 其他约定 1、作为甲方公司的合法股东,乙方有权且甲方有义务保证乙方依据公司法的规定,行使下列权利: (1)查阅公司章程、股东会会议记录和公司财务会计报告; (2)参加公司股东会并按出资比例对公司重大事项行使表决权; (3)按照出资比例分取红利; (4)公司清算时,按照出资比例分配剩余财产; (5)公司新增资本时,出资人可以优先认购;内部股东转让股份时有优先认购权; (6)公司法和公司章程规定的其他权利。 2、公司股东会需要对公司的经营方针、投资计划、选举执行董事和监事、批准执行董事的报告、批准公司财务预算决算方案、修改公司章程、决定公司分立、合并等重大事项进行表决时,乙方有权发表意见或建议,并有权按所占的股份比例进行表决。 3、若甲方违反本协议任何条款约定的,如:拒不提供公司经营管理决策和股权收益情况,资产损益表、财务会计报告等,乙方均有权自行决定收回投资款或进行审计、调查等,而所发生的费用均由甲方承担,且乙方有权根据结果确定是否继续履行本协议。 4、乙方在本协议约定的持股或分红期间,以及在退股或离职后2年内,如未经甲方书面同意,不得自行或与他人合作在甲方经营区域内经营、投资与甲方经营范围相同或类似的项目,否则乙方必须赔偿甲方的损失。 5、财务由甲方保管,乙方监管,每月核算后由甲方每月召开一次股东大会,公布上月的经营成果,并由甲乙双方共同签字。 6、甲方保证公司的财务核算遵行现行中华人民共和国会计法、企业会计准则的规定,绝不损害乙方的合法利益,并向乙方公开核算结果。 7、自本协议签订日前,甲方所发生的一切债务与盈利均与乙方无关。 8、乙方接受甲方转入的包扣但不限于投资(奖励股)款、开户银行: ,户名:。 9、本协议中注明的甲乙双方的地址、身份证号码、手机号(以下简称联系方式)均为真实有效的联系方式,协议一方为履行本协议,以该通讯地址向另一方发送或者投递的函件、通知等文件,一经发出就视为对方知悉(如联系方式有变更应及时书面通知另一方)。 10、双方遇有无法控制的时间或情况(包扣但不限于火灾、风灾、水灾、地震等)及政府行为,应视为不可抗力事件;若由于不可抗力事件导致任何一方不能履行本合同规定的义务时,应把本合同规定的履行义务的时间延长,延长的时间应与遭受不可抗力事件所延误的时间相等。 第十二条 以上合同若有修正,经甲、乙双方协商后签订补充协议,补充协议与本协议具有同等法律效力,补充协议与本合同相抵触的,以补充协议为准。 第十三条 本合同一式二份,甲乙双方各执一份,具有同等法律效力。 甲方:乙方: 法人(签字): 姓名(签字): 身份证号: 年月日 年 月日篇三:职工股权激励合同书 职工干股合同书 甲方: 乙方: 鉴于甲方以往对乙方的贡献,为奖励先进职工,激励甲方更好的工作,使企业进一步提高经济效益,经双方友好协商,双方同意乙方以在职股权的方式(干股)对甲方工作进行奖励和激励。为明确双方的权利和义务,特订立以下协议: 1定义 1.1在职股权(干股):指公司为激励有能力的员工,为签订职工干股合同书的员工无偿赠与一定的公司股份,在职股权与岗位直接关联,在员工离职后即丧失该股权。同时,在职股权的拥有者不是乙方在工商注册登记的实际股东,只列入公司内部股东名册,在职股权股东只享有分红权,无继承权,亦不得转让该股权。不参与公司决策事项,各股东不承担公司亏损额,不需缴纳资金。 1.2分红:指公司年终按照公司内部规定按干股股份金额的一定比例分配红利。 2.分配方式 乙方根据甲方的工作表现,无偿赠与甲方干股金额万元。 2.1甲方取得干股股权登记在公司内部干股股东名册上,由甲乙双方签字确认,甲方不得以此股权对外作为甲方拥有公司实际股权的依据。 2.2在企业盈利的前提下,乙方应在次年春节的前七日根据干股股份金额 10% 的比例按照本协议第 4、5、6 条的规定中所适用的方式兑现上一年度的红利。 2.3甲方年终可得分红为甲方的干股股份金额乘以分红比例。 2.4经过甲乙双方协议,甲方在家庭困难,有重大变故,急需资金情况下,可以提前预支当年存在公司个人账户的资金,但预支金额不得超过当年所存个人账户的总金额。 3分红的支付方式 甲方取得的干股分红应以人民币形式支付,乙方不得以其他形式支付。若经过双方协商,甲方同意乙方以其他形式支付干股分红的,乙方方可以双方协商约定的形式支付甲方的红利。 4甲方在职不满五年的按下述办法兑现红利金额: 甲方在岗位上服务不满五年的,当年应得红利的50%以人民币形式支付给甲方,另50%记入甲方在公司的个人账户内(由公司财务部保管,记入干股股东名册),未兑现的红利每年按年息10%计算利息记入个人账户;5.甲方在职已满五年未满十年的按下述办法兑现红利金额: 甲方在岗位满五年后,从第六年起当年的红利金额70%以人民币形式支付给甲方,另30%记入甲方在公司的个人账户内(由公司财务部保管,记入干股股东名册),未兑现的红利每年按年息10%计算利息记入个人账户; 6.甲方在职年满十年以上的按下述办法兑现红利金额: 6.1甲方在岗已满十年的,自第十一年起每年兑现红利为当年分红金额的100%。 6.2 从第十一年起,前十年在职期间内个人账户历年累积的红利金额分三年兑现,每年兑现三分之一,未兑现的金额每年按年息10%计算利息记入个人账户。 7.若甲方家中收入较为宽裕,家中不急需使用资金,可与乙方协商,自愿将每年应兑现的红利金额按一定比例存入公司个人账户,每年仍然按年息10%计算利息。自愿存入的比例由甲方和乙方另行友好协商。 8.因本协议所涉及股份为乙方无偿赠与给甲方的在职股份(干股),当甲方与乙方之间的劳动协议解除,本协议亦宣告失效,甲方未兑现的红利金额不再兑现。 9.在协议生效期间,甲方不能以其所配干股要求乙方折成现金退出或要求乙方强制收购。 10.甲方不能转让其所配股份的股份。 11.甲方在获得乙方赠与干股的同时,仍可根据甲乙双方签订的劳动合同享受乙方给予的其他待遇。 12保密义务。 甲方对本协议的内容承担保密义务,不得向第三人泄露本协议中甲方所得在职股份(干股)以及分红等情况,除非事先征得乙方许可。 13.协议解除情形 13.1. 因甲方工作不称职或损害乙方利益的前提下,乙方有权依法提出解除双方劳动关系并终止本协议。 13.2. 甲方在本协议期限未满前因个人原因提出解除劳动关系,并经乙方同意的,双方可解除劳动关系,本协议同时终止。 13.3.除以上13.1、13.2条规定外,在任何情况下,甲乙双方的劳动关系解除,本协议也随之终止。协议终止后的其他事项按本协议第8条的规定处理。 13.4本协议终止后,本协议第12条的规定甲、乙双方仍须遵守。 14违约。 14.1如甲方违反本协议条款规定,乙方有权提前解除合同。 14.2如甲方因个人原因给乙方造成重大损失应承担赔偿责任。14.3如甲方因徇私舞弊,滥用职权,利用职权收受他人贿赂的,乙方有权提前解除合同,若给乙方造成经济损失的应当承担赔偿责任。如甲方行为触犯法律规定的,乙方有权向法院提起诉讼,走法律程序。 15甲方权利及义务 15.1甲方权利 15.1.1甲方自本方案批准之日起,享受本方案规定的股权权益。 15.2甲方义务 15.2.1甲方应严格遵守本协议笫 12 条的保密条款 152.2甲方应遵守法律法规的规定,遵守职业道德,不得做出损害乙方利益的行为。 15.2.3甲方应勤勉尽责、恪守职业道德,为公司的发展做出贡献。 16乙方权利及义务 16.1乙方权利 16.1.1乙方有权要求甲方按其所聘岗位的职责要求做好工作,若甲方不能胜任岗位要求,经董事会批准,可以取消甲方尚未实现的配股份额,甲方未兑现的红利金额不再兑现。 16.1.2若甲方因触犯法律、违反职业道德、泄露公司机密、失职或渎职等行为严重损害公司利益或声誉,经董事会批准,可以取消甲方尚未实现的配股份额,甲方未兑现的红利金额不再兑现,并有权向甲方要求赔偿其给公司造成的损失。 16.2乙方义务 乙方应遵守本协议的约定,每年春节的前七日主动向乙方一次性兑现上一年度规定的分红。 17本协议所涉及的干股股权不能继承,但甲方因工死亡的,由公司一次性兑现个人账户中的红利金额,且股权权益继续有效,由其法定继承人继承,甲方法定继承人也可要求乙方根据甲方尚未实现的干股金额按公允价值进行一次性合理补偿。 18乙方有权根据公司的具体情况,每两年对本方案调整一次,新方案从批准日的下一年度执行。 19争议的解决。 19.1友好协商 如果发生由本合同引起或者甲乙双方的争议,双方应当首先争取友好协商来解决争议。 19.2仲裁 如果双方协商不成,则将该争议提交甲方所在地的劳动争议仲裁委员会仲裁。 20合同期限。本合同无固定期限,自签订之同起生效,自甲乙双方解除劳务合同之日,员工离职之日起失效;
