1 Strategic Co operation Agreement 战略合作框架协议 This Strategic Co operational Agreement the Agreement is made and effective the XX 2016 本战略合作框架协议 以下简称 协议 于 2016 年 X 月 X 日 签订并生效 AMONG company name the Party A a corporation organized and existing under the laws of the PEOPLE S REPUBLIC OF CHINA with its head office located at company address Provice P R China AND company name the Party B a corporation organized and existing under the laws of the REPUBLIC OF China with its head office located at XXXXXXXX P R China AND company name the Party C a corporation organized and existing under the laws of the Kingdom of Cambodia with its head office located at company address 签订协议各方有 公司名字 以下简称 甲方 一家依据中华人民共和国法律组建并续存的公 司 其营业地址位于 中国 地址 及 公司名字 以下简称 乙方 一家依据中华人民共和国法律组建并续存的公 司 其营业地址位于 中国 地址 以及 公司名字 以下简称 丙方 一家依据柬埔寨王国法律组建并续存的公司 其营业地址位于 公司地址 In consideration of the terms and covenants of this agreement and other valuable consideration the parties agree as follows 鉴于本协议所含之相互约定和承诺 订约双方协议如下 1 RECUTALS 2 a All parties desire to join together for the pursuit of common business goals in Kingdom of Cambodia including but not limited to railway transit port development mining power system real estates etc b All parties have considered various forms of joint business enterprises for their business c All parties desire to enter into a co operation agreement as the most advantageous business form for their mutual purpose 一 事实陈述 a 合作各方欲联合起来追求共同在柬埔寨所需的商业目标 包括但不限于铁路交通 港口开发 矿业 电力系统 房地产等 b 合作各方已经就其经营业务考虑了各种形式的合作方式 c 合作各方欲就其互利目标达成一项合伙协议作为其最佳商业形式 2 COMMUNICATION STRUCTURE For a better future business development Party A and Party B shall establish a regular meeting schedule for the business assessment business flow and information exchange 二 业务沟通交流机制 为了将来更佳的业务拓展 甲 乙双方须定时展开会议 进行业务发展的评估 流程及信息交流 3 CONVENANT AGAINST REVEALING TRADE SECRETS No party shall during the continuance of the co operation relationship or for 5 years after its termination by any means divulge to any person not a member of both firms any trade secret or special information employed in or conductive to the co operation business and which may come to the both party s knowledge in the course of the co operation relationship without the consent in writing of the other party or of the other party s heirs administrators or assigns 三 保守商业秘密的承诺 在各方展开合作业务的存续期间或无论以何种方式终止合作业务后 5 年内 如果没有其他合伙人或其继承 人 管理者或受让人的书面同意 任何合伙人不得向非公司成员泄漏任何商业秘密或有官合作业务采用或 有助于合作业务的信息 在合作业务的运营过程中 该信息可能会成为合作双方的专有知识 4 DURATION OF AGREEMENT 3 The term of this agreement shall be for 5 years commencing on DATE and terminating on DATE unless sooner terminated by mutual consent of the parties or by operation of the provisions of this agreement 四 协议期限 本协议期限为 5 年 从 2016 年 x 月 x 日 开始到 2021 年 x 月 x 日 结束 除非三方同意或本协议条款规 定可终止该协议 5 GOVERNING LAW The enforcement and interpretation of this agreement shall be governed by the laws of THE PEOPLE S REPUBLIC OF CHINA 五 法律适用 本协议的实施和解释适用于中华人民共和国法律 6 RESOLUTION OF DISPUTES Any dispute arising out if or in connection with this Agreement shall be governed and construed by the laws of the PEOPLE S REPUBLIC OF CHINA in CHINA INTERNATIONAL ECONOMIC AND TRADE ARBITRATION COMMISSION and shall be referred to and finally resolved by China Guangzhou District Court P R C 六 争议的解决方案及管辖 所有因履行本协议引起的 与之相关的或不能够通过协商解决的争议及纠纷 任何一方均可将争议提交中 国国际经济贸易仲裁委员会 并且依照中华人民共和国规定 在广州通过仲裁的方式进行解决 7 PREVAIL OF LANGUAGE VERSION Any contradiction between Chinese and English version Chinese version shall prevail 七 中文及英文版本间的效力 所有因中 英文版本引起的矛盾及争议 以中文版本为准 8 OTHER PROVISION 4 All parties will be based on actual needs of the business co operation to sign the specific business contracts and execute accordingly If there are inconsistencies between the contract and this agreement the contract shall prevail 八 其他事项 三方将根据实际需要在实际业务合作时签订具体业务合同 并按合同约定执行 如具体业务合同存在与本 协议不一致之处 以具体业务合同约定为准 Party A 甲方 Signed by 签字人 company name 公司名字 Party B 乙方 Signed by 签字人 company name 公司名字 Party C 丙方 签字人 Signed by company name 公司名字
