The bags should be sound and suitable for ocean transportation. The bags shall be properly marked with the name of commodity, weight, country of origin and date of packing in English.4.TERMS OF SHIPMENT:a)The Sellers shall advise the Buyers by fax within 5 working days after the completion of loading, the name of the carrying vessel, the date of departure, the name of commodity, the invoice value and the quantity actually shipped.b)The Sellers shall give the Buyers, by fax, 15 days prior to the Vessels ETA (estimated time of arrival) at the port of discharging, advising the vessels latest ETA at the discharging port. If there is any change in Vessels ETA, a notice shall be given to the Buyers or their Agent in time by ship Owners or their Agent at the port of Discharging.c)The Buyers undertake to accept the Captains Notice of Readiness (NOR) given by the Captain in time. Laytime for discharging shall commence at 14hrs(下午两点) if NOR is given at or before noon and at 8:00hrs (上午八点) the next working day if such NOR is given in the afternoon. Time lost in waiting for berth and shifting to be counted as discharging time.d) Discharging at the rate of 250 metric tons per hatch per weather Working day of 24 consecutive hours Sunday and Holiday excluded unless used. Rate of demurrage as per Charter Party/subject to a maximum of USD 6 000 per day or pro rata for any part of a day. Half demurrage for dispatch.e) Discharging cost including night shift surcharges, tally charges, sorting charges etc. are for buyers account.f) The sellers should inform the buyers the carrying vessels principal particulars before shipment.g) If the age of the carrying vessel is over 20 years, the overage insurance premium to be for sellers account. The overage insurance premium payable as per PICCs schedule. (Claim for overage premium to be supported by official invoice of the insurance company.)5. INSURANCE:All Ricks and War Risks including risks of heating, sweating, caking, molding, spontaneous combustion howsoever and whatsoever caused, risks of short-weight,quality inconformities with the loading description at the destinations shall be covered by the Buyers from warehouse to warehouse.6. TERMS OF PAYMENT:On or before the buyers must open an irrevocable letter of credit for 100% of the contract value in favor of Trading Limited payable at sight by full telex/cable through Bank in China which is acceptable by the Sellers. The irrevocable letter of credit shall be unrestricted for negotiation at any bank in Hong Kong. The payment of the L/C to be effected by T/T.The Letter of Credit shall be valid in Hong Kong until the 30th day after the date of shipment. If the fully operational Letter of Credit has not been advised to Sellers on or before , the Sellers have the choice either to extend the shipment month or declare the Buyers default as per GAFTA No. 10 Clause 24.Document Required:A) Commercial Invoice in triplicate.B) Full set of Clean On Board Shipping Bills of Lading, each consisting of three original and three non-negotiable copies, made out to Order and blank endorsed, marked “Freight Prepaid”, Indicating 1% empty bags shipped along with cargoes free of charge.C) Origin Certificate in quadruplicate (one original and three copies) indicating the country of origin producing the said commodity.D) Technical Inspection of the Process and Bacteriological Examination of the product in quadruplicate (one original and three copies), indicating XXX.E) Certificate of Sampling/Analysis in quadruplicate (one original and three copies), indicating XXX.F) Sanitary Certificate of the said commodity in quadruplicate, (one original and three copies).G) Certificate of Weight in quadruplicate (one original and three copies), indicating the number of bags and the actual weight loaded.H) Certificate of Packing in quadruplicate (one original and three copies).I) Pre-shipment Survey Report in quadruplicate (one original and three copies), indicating that the cargo shipped on board of the carrying vessel has been treated with antioxidant, bagged and stored in well ventilated place.7. REMARKSA) All certificates issued by SGS. All shipping documents shall be written in English or Spanish together with English translation attached.B) All documents presented later than 21 days after the date of shipment but within 30 days after the date of shipment acceptable.C) The issuance date of all certificates later than Bill of Loading date are acceptable but the inspection date/sampling date must not be later than Bill of Lading date.D) Charter Party Bills of lading and Third Party Documents are acceptable at presentation.E) All banking charges including by Buyers Bank are for Buyers Account and all banking charges including commission in lieu imposed by Sellers Bank are for Sellers Account. Acceptance Commission, if any, is for Buyers Account.F) All import duties, taxes and dues present or future to be for Buyers account.8.INSPECTION:Quality and quantity of the commodity stating in the documents required in the Clause 7 inspected by the independent surveyors at the port(s) of loading shall be final.9.FORCE MAJEURE:The fulfillment of this Contract is subject to the usual force majeure practice and GAFTA contract No.10, clause 22.10. ARBITATION:Should any dispute arise between the contracting parties, it shall be settled through friendly negotiations. But if there is no agreement to be reached, the disputes arising out of the execution or performance of this contract shall be submitted by the parties for arbitration. Arbitration shall be conducted by China International Economic and Trade Arbitration Commission in Beijing in accordance with its procedure rule. The award given by the Arbitration Commission shall be final and binding upon both parties. The fees for arbitratio shall be borne by the losing party.11. Buyer to return one copy of this contract duly signed in confirmation, however, failure of Buyer to return same duly signed document(s) will not in any way affect or alter the validity of this confirmation and/or contract.12. All other terms not in conflict with the above mentioned shall be as per GAFTA Contract No.10.This Contract is made in two original in English, both are valid.
