助甲方进行科室管理，负责“妇科诊疗中心”部分医务人员岗前及在岗培训，承担追加的医疗设备投入、市场营销推广、企划宣传费用及合作后的装修经费。甲方负责医疗的控制管理。通过双方共同努力逐步将医院妇科建成汉正街地区具备良好品牌及实力的妇科诊疗中心； 二、 合作范围：妇科门诊、计划生育门诊、医学影像科 三、 投资方式与资金来源 在现在妇科门诊，医学影像及计划生育科的基础上，由乙方投资拓展医疗业 务，改造装修现有科室及增建简易病房扩大收容；产生更大的社会效益和经济效益。以上所需资金由乙方出资投入，预算约为万元，其中设备投入万元，其他万元，由月经“妇科诊疗中心”进行返回。 四、 甲方责任和义务： （一）甲方提供医院二楼现有妇科诊室、计划生育科、手术室、观察室、心超室 及四间房和“妇科诊疗中心”所需，水、电取暖设备等。甲方所需的医疗、 技术、辅诊、财务、安全保卫、后勤及行政科室，应向“妇科诊疗中心” 提供完善的管理服务。 （二）根据“妇科诊疗中心”工作需要，被聘用的非甲方医务人员由“妇科诊疗 中心”发放工资、奖金；被聘用的甲方医务人员由“妇科诊疗中心”发方奖 金，工资、人事关系仍由甲方负责。 （三）甲方负责办理物价申请，经费由乙方负责，征得甲方同意后，乙方可在院 内制作宣传栏、标牌以及印制专科宣传资料并对外宣传。 （四）甲、乙双方必须共同保证管理经营的“妇科诊疗中心”的独立性，除“妇 科诊疗中心”以外其他科室不得以任何形式接诊“妇科诊疗中心”诊疗范 围内病源（妇科常见疾病、炎症类、手术类等）。甲方在一楼处提供宣传位， 为二楼“妇科诊疗中心”进行行医指向及宣传。 （五）甲方对“妇科诊疗中心”的医疗新技术、管理模式，经济运行情况等严格 保密。二、乙方的责任和义务 （一）乙方根据实际所需投资购买“妇科诊疗中心”所需的医疗设备，并负责设 备的管理、维修、保养。 （二）征得甲方同意后，乙方可对“妇科诊疗中心”门诊、病房及可以使用的闲 置房屋进行装修、改造。 （三）乙方根据业务需要，开拓市场、制订对外宣传计划，所需费用由乙方承担， 宣传材料需经甲方机关审定同意。 （四）乙方负责聘请具有高级生业技术或知名专家与甲方专家共同组成“妇科诊 疗中心”高级顾问组，负责专家门诊，确保“妇科诊疗中心”的诊断、治疗 质量的不断提高和保障医疗安全。 （五）“中心”医、技、护等人员若短缺，由“妇科诊疗中心”招聘，列入甲方招 聘人员管理，工资、奖金等费用由“妇科诊疗中心”承担。所需医务人员应 具有相应的“执业资格”，并向甲方提供身份证、执业证、职称证的复印件 等材料，由甲方医务处、护理部审核并备案。如现有职工不服从“妇科诊疗 中心”管理，报医院党委研究由医院另行安排工作。 （六）“妇科诊疗中心”若发生医疗纠纷和差错。由乙方出面按医院的相关程序进 行调解和处理，并征得甲方同意，所造成的经济损失列入“妇科诊疗中心” 成本。 （七）乙方在管理“妇科诊疗中心”期间，所有收入必须经过甲方收费系统收入 “妇科诊疗中心”，乙方不得以“妇科诊疗中心”或其他形式进行私自收费。 财务管理及经济分配原则 一、本合作协议期限为年，“妇科诊疗中心”药品收入归甲方所有，其他收入 双方按经营利润进行效益分配。 1、甲方在“妇科诊疗中心”收入中（药品收入除外）每月划拨1.1万元作为甲方 的收入； 2、“妇科诊疗中心”如果实际月营收高于3.5万元的预计月营收，超出部分按10% 计提给甲方作为上缴利润； 3、“妇科诊疗中心”如果实际月营收高于10万元的预计月营收，超出部分按12%计提给医院作为上缴利润； 4、“妇科诊疗中心”如果实际月营收高于20万元的预计月营收，超出部分按15%计提给医院作为上缴利润； 二、根据有关规定，收费全部由甲方统一进行，“妇科诊疗中心”不得另行收费。“妇科诊疗中心”的耗材成本费用，由乙方承担并由乙方自行采购并计入“妇 科诊疗中心”成本支出中。甲方应严格遵守财务制度，做到收支帐目清晰。双 方帐目实行日清月结，每月1日-5日结算（节假日顺延），并汇入双方指定帐号 或以现金形式结算。分成比例，从项目合作开始即日起计算。 三、“妇科诊疗中心”的收入包括挂号费、治疗费、处置费、观察费、检查费、医 用耗材费、麻醉费、手术费及住院费等为“中心”的收益。 合同期限： 本合同期限为年，自20 年 月 日至20 年 月 日，本合同一式两份，双方各执一份，均具有同等法律效力，自双方盖章、法人代表签字之日起生效。 其他： 造成的一切损失（甲方终止合同，应赔偿乙方投入的所有的“中心”设备、 药品、耗材和房屋装修改造费用以及大楼的建设费用等的即时作价款，乙方 终止合同，乙方投资的所有设备及装修改造等归甲方所有）。 三、合同到期后，如甲方有意继续合作，在乙方提出申请，并附评估报告，绩效 说明等时，乙方享有优先续约权。 四、 合作期满后，“中心”设备及修建大楼归甲方所有（其中不含药品、耗材 等）。 双方交易和服务的质量标准：如双方未明确予以规定，应按国家规定的标准执行；如无国家规定标准的，应按行业一般标准执行；无行业标准的，按当地一般标准执行。 第八条 双方交易和服务的价格标准：双方可在合法和合理的原则基础上，协商确定价格。如双方未明确规定价格，应按国家规定的价格标准执行：如无国家价格标准，应按当时当地的市场价格标准执行。 第九条 交易和服务费用的支付，视不同情况，一般应采取月末、季末或年末结算一次的方法，一些特别的项目，也可以即时结清。 第十条 双方在交易和服务方面所形成关系的期限，原则上是长期的，至少为十年。 但在下列情况下，前款期限可以减少或提前终止： 1经双方另行协商同意； 2因个别项目的社会公认的特殊性而必须减少或提前终止； 3由于不可抗力致使全部义务不能履行而予以终止； 4由于一方的绝大部分的项目义务没有履行； 2集团公司保证按时、按质、按量供应水电，以保证股份公司的正常工作和生产需要以及股份公司职工的正常生活需要。 3股份公司的用水用电应按国家有关部门的规定和集团公司的要求，合理地使用水电。 4集团公司应对与此项供水供电有关的水电设施进行维修，维修费用另行支付。 第十五条 电话通讯服务 1电话通讯服务指集团公司通讯工程公司向股份公司提供的电话、传真、电传、电讯设备的安装和维修等服务。 2集团公司保证提供的电话、传真、电传、电讯设备的安装和维修等服务及时、准确，态度热情周到。 3股份公司保证在接受服务和使用电讯设施时，主动配合，合理使用。第十六条 交通运输服务 1交通运输服务指集团公司以其汽车、船舶和其他运输工具和股份公司提供服务，以满足股份公司生产需要。 2集团公司保证服务热情、周到，优先安排并按时、按量提供有关运输工具和司机人员。 3股份公司保证将用车和运输计划提前通知集团公司，但临时用车和特殊情况可随时要求集团公司提供服务。 4股份公司保证合理使用车辆等运输工具，造成不合理的损害应予以赔偿。第十七条 医疗后勤服务 1医疗服务指集团公司以其拥有的医院、诊所等医疗设施和医护人员以及幼儿园、食堂向股份公司的职工和家属提供医疗保健服务。2集团公司保证医疗服务质量。 3集团公司保证根据股份公司要求，提供条件对股份公司的职工进行身体检查。 第十八条 科研服务 1施工科研服务指股份公司以其拥有的施工科研设备、科研成果和科技人员，向集团公司的有关单位提供服务，以保证集团公司工作和生产的需要。 2股份公司应按照集团公司的合理要求提供服务并保证科研设备和科研成果的先进性和实用性。 合作项目运营严格遵守法律、法规及医院的各项规章制度，严格按照医疗技术操作规程进行医疗工作，依法行医、按章收费，杜绝医疗纠纷、事故的发生，确有医疗纠纷或事故发生，由乙方承担全部责任。如果由医疗纠纷甲方参加诉讼的，甲方对外承担责任后，有权向乙方追偿，在乙方与患者发生纠纷时，甲方应予以协助处理。 九、协议期满及协议终止： 本协议期满后，经双方协商同意后可延长协议期限，但应在本协议期满前2个月内提出或在相同条件下优先乙方。 在下列情况下，本协议终止： 1、本协议合作期满，其中一方不同意续签的。 2、专科发生严重亏损，无力继续经营的。 3、一方因发生自然灾害、战争等不可抗力因素的。 4、一方严重违约导致专科无法经营的。 由于甲方的原因提前终止本协议的，甲方按国家规定的医疗设备折旧率回购乙方提供的医疗设备。 因专科持续亏损无法经营时乙方可提前终止本协议，须提前30日书面告知甲方，不视为违约行为，从告知甲方日起，不得接受新诊病人，并积极处理已就诊病人的治疗和复诊工作，不得遗留纠纷隐患。 十、违约责任及争议解决： 本协议经双方签章后即产生法律效力。本协议签订后，双方应严格诚信履行协议中双方约定的各项条款，当一方终止或不能履行本合同条款时，另一方有权追究违约责任，其赔偿至少不低于专科成立时投资的金额。
