MISCELLANEOUS 其它事宜甲方用人单位全称:住所:联系:法定代表人:Hereinafter referred to as the “PANY,以下简称“本公司乙方劳动者某:性别:出生年月:出生地:有效件:护照现住址:联系:Hereinafter referred to as the “EMPLOYEE,以下简称“该员工Hereinafter collectively referred to asthe “PARTIES.甲方、乙方以下统称“合同双方。In accordance with the Labour Lawand other relevant laws and regulations of the Peoples Republic of China, the PARTIES have concluded the following labour contract (hereinafter referred to as the “CONTRACT)合同双方依照?中华人民国劳动法?以及中华人民国其它相关法律法规,共同约定以下劳动合同(以下简称“本合同)。ARTICLE 1: POSITION & TASKS OF WORK第一条:职务及工作职责1.1. The EMPLOYEE will have the following position: 该员工将担任以下职务:_1.2. If necessary due to the management organisation of the PANY and or the petence and abilities of the EMPLOYEE the PANY may adjust the position, duties and responsibilities of the EMPLOYEE.假设由于本公司管理编制的需要及/或由于该员工本人资格与能力的原因,本公司可在必要的情况下对该员工的职务和工作职责进展适当调整。ARTICLE 2: TRIAL PERIOD第二条:试用期2.1 The trial period will start on the date of signature of this CONTRACT. The duration of the trial period is three (3) months.During the trial period the EMPLOYEE will be bound by all articles of this contract.试用期自本合同签署之日起开场,时间为三个月。在试用期间,该员工受本合同全部条款所约束。2.2 After the specified trial period and if no notice of termination is given the EMPLOYEE automatically bees employed under the terms and conditions of this CONTRACT.在约定的试用期,假设该员工没有收到关于解除劳动关系的通知,在试用期满后,该员工自动转为本公司正式员工,执行本合同规定的条款。ARTICLE 3: DURATION OF THE CONTRACT第三条:合同期限3.1 The duration of this CONTRACT istwenty-four (27)months.本合同期限为27个月。3.2 This CONTRACT maybe extended upon agreement of both PARTIES. An extension to this CONTRACT shall e into force only after a written agreement has been signed by both PARTIES.本合同经合同双方同意后可以续签。只有在合同双方签署书面协议后,续签的合同方能生效。ARTICLE 4: SALARY第四条:工资4.1 The PANY shall define its own salary policy in accordance with regulations stipulated by the state and municipal government. The PANY shall ensure that the monthly salary of the EMPLOYEE is not less than the minimum pay standard set by the local government.本公司将依照中华人民国和市有关政策法规制定本公司的员工工资标准。本公司保证该员工的月工资将不低于当地政府规定的最低工资。4.2 The EMPLOYEE will receive a gross monthly or 口annualsalary of 3,000.00 renminbi (RMB3,000.00) and increase thereafter the basis of the staff performance, the economic development of the PANY and according to the salary policy of the PANY approved by the Board of Directors of the PANY, and etc.该员工税前工资将为每月或口每年叁仟元人民币,今后将按照该员工的工作表现、本公司的经济效益以及由本公司制定并经董事会批准的工资标准每年递增。4.3 Such salary shall be transferred to the bank account designated by the EMPLOYEE between the third and fifth day of each month.上述工资将于每月3号至5号期间汇入该员工所指定的银行账户。ARTICLE 5:PREMIUM & BONUS第五条:奖金及分红5.1 At the full discretion of the Chairman and based upon his/her general attitude and the result of his/her work and fulfilment of his/her objectives detailed with his/her manager and at the beginning of each calendar year the EMPLOYEE will be entitled to an annual bonus not exceeding one (1) month of salary and shall be paid to the EMPLOYEE for each full calendar year which the EMPLOYEE works for the PANY in two (2) instalments the following year.经本公司董事长同意,并且根据该员工的工作态度、工作成果及其上级主管规定之工作目标的完成状况,该员工将有权在每个公历年初享受年终奖金奖金总额不超过该员工的月工资。员工为公司工作满一年时,奖金将于次年分两次发放给个人。ARTICLE 6:PERSONAL INE TAX第六条:个人所得税6.1 The EMPLOYEE shall pay individual ine tax in accordance with the relevant laws and regulations of the Peoples Republic of China. The PANY shall withhold such amount and pay it to the petent tax bureau.该员工须按照中华人民国相关法律法规缴纳个人所得税。本公司将为该员工代扣代徼个人所得税,并将应纳税款上交相应税务机关。ARTICLE 7:TRAINING第七条:培训7.1 The PANY will establish an EMPLOYEE training system and provide necessary training to the EMPLOYEE in accordance with the relevant laws and regulations of the Peoples Republic of China and as the PANY needs.本公司将依照中华人民国有关法律法规及公司需求,为该员工设计一套培训体系,向该员工提供必要的培训。ARTICLE 8: WORKING HOURS第八条:工作时间8.1 The PANY will implement working hour system of forty minimum(40) hours per week in accordance with the relevant laws and regulations exclusive of lunch time.本公司依照相关法律法规实行每周40小时工作制每周工作时间不得少于40小时,不包括午餐时间。The working hours are from Monday to Friday from 9:00AM to 6:00PM with a one (1) hour for lunch that may vary in time so as to have at least one staff member in the office during lunch time.工作时间从周一至周五,每天上午9点至下午6点,午餐时间为一个小时。午餐时间将根据具体情况进展安排以确保届时至少有一名员工留守办公室。8.2 Subject to the operation needs the PANY may adopt irregular working hour system or calculate the working hours on synthetic basis.根据实际工作需要,本公司可能采用不规那么时间工作制或依照综合标准计算工作时间。8.3 The PANY may extend the working hours of the EMPLOYEE after consultation with the EMPLOYEE according to the relevant laws and regulations.依照有关法律法规,与该员工进展协商后,本公司可以延长该员工的工作时间。The PANY pays the EMPLOYEE 300 percent of the salary, based on an hourly amount according to Article 4, hereto for working during official public holidays.假设需要员工在法定节假日加班,公司将根据本合同第4条中所列工资标准计算出该员工的每小时工资,并按照每小时工资标准的3倍支付加班工资。8.4 Notwithstanding what provided hereof the PANY shall extend the working hours regardless of Article 8.1 and Article 8.3 in any of the following cases:假设出现以下情况,无论是否符合本合同第8.1条和第8.3条中的规定,本公司均可延长工作时间:a. Immediate action which must be carried out in case of natural disasters, accidents or other events that will endanger the EMPLOYEEs life, health, property, or safety;由于发生自然灾害、事故或其它危及该员工生命、安康、财产及平安的事件,必须采取紧急措施;b. Urgent repair which must be carried out in case of breaking down of operation equipment, munication, transportation and other facilities which will endanger PANY business or public interest;由于运营设备、通讯设备、运输设备及其它设备发生故障,危害到本公司的业务或公共利益,必须进展紧急维修;c. Continuous of the operation or business of the PANY which shall not be interrupted on stipulated holidays and rest days.由于无法因为法定休假和双休日而中断本公司持续开展的经营运作或业务;d. Overhaul and maintenance of the equipment which shall only be made on stipulated holidays and rest days; and只能在法定休假和双休日进展的设备检修与维护;e. Emergency operation assignment concerning national defence.由于国防原因需要采取紧急措施。ARTICLE 9: DISCIPLINE第九条:劳动纪律9.1 Apart from the provisions of this CONTRACT the EMPLOYEE must respect all relevant laws and regulations of the Peoples Republic of China rules and regulations of the PANY and provisions of any relevant collective labour contract.除本合同所规定之条款外,该员工还须遵守中华人民国相关法律法规、本公司制定的规章制度,以及其它劳动合同方面的相关规定。9.2 The EMPLOYEE must respect and execute any and all formal instructions given to him/her regarding the duties and responsibilities of his/her tasks of work.该员工须遵守并执行一切与其工作职责有关的正式指令。9.3 In cases of an offence, gross misconduct, and or any violation of labour discipline the PANY will normally carry out the following procedure:假设该员工出现过错、严重过失及/或其它违反劳动纪律的行为,本公司一般依照以下程序对该员工进展处分:1 Oral warning 口头警告2 First written warning 第一次书面警告3 Final written warning 第二次书面警告4 Dismissal 开除9.4 However the PANY reserves the right to omit any of these stages as the case may be.然而,本公司有权根据实际情况对上述某些步骤进展调整。9.5 The EMPLOYEE has the right to appeal against written warnings or dismissal to the Labour Dispute mittee if any.该员工有权针对其受到的书面警告或开除决定向劳动争议委员会提出申诉(如需)。ARTICLE 10: SICKNESS & INJURY LEAVE第十条:病假及伤假10.1 The EMPLOYEE will be entitled to sickness and injury leaves in accordance with the relevant laws and regulations.该员工有权根据相关法律法规享受病假及伤假。10.2 The EMPLOYEE applying for sickness or injury leave shall fill in a leave application form and get approval from his/her manager. Leave for more than two (2) days shall be approved by the Chief Executive Officer of the PANY and submitted to the Office Manager, Human Resources Manager or their Manager for verification and filing before going for leave.申请病假或伤假时,该员工应填写“休假申请表,并必须得到其上级主管的准许。假设该员工的休假超过两(2)天,那么需经本公司首席执行官允许,且应在休假前将“休假申请表提交至行政经理、人力资源部经理或直属上级经理以供审核及存档。In case of any sudden sickness or injury the EMPLOYEE shall inform his/her manager no later than the end of the first day. A written confirmation shall be submitted to the Office Manager and Human Resources Manager for verification and filing within two (2) days after he or she es back to work.假设该员工突发疾病或受伤,需在当天完毕前通知其上级经理,并在返回岗位后的两(2)个工作日将书面说明提交行政经理及人力资源部经理以供审核及存档。10.3 If the EMPLOYEE is absent for more than one (1) week he/she must ensure that the Chief Executive Officer are kept informed of the progress at weekly intervals.假设该员工的病假超过一周,该员工必须每周向首席执行官报告其病情状况。10.4 The EMPLOYEE taking sickness or injury leaves for more than one (1) day must provide a medical certificate issued by a qualified doctor. Failure or refusal to provide the certificate or providing false or inaccurate information will be deemed as a gross misconduct.假设该员工休病假或伤假超过一天,必须提供由专业医师出具的病假条。假设该员工无法或拒绝提供病假条或提供虚假信息,将被视为严重过失。ARTICLE 11: LABOUR SAFETY & HYGIENE第十一条:劳动平安及劳动卫生保障11.1 The PANY will establish a sound labour safety and hygiene facilities and shall strictly implement rules and standards of labour safety and hygiene of the Peoples Republic of China, conduct labour safety and hygiene education, prevent accidents and reduce occupational hazards.本公司将建立一套合理的劳动平安卫生保护措施,严格落实中华人民国劳动平安卫生制度和标准,开展劳动平安卫生教育,防止事故发生,减少职业病危害。11.2 The PANY shall provide the EMPLOYEE with labour safety and hygiene conditions and necessary articles in conformity with the relevant laws and regulations.本公司将依照有关法律法规为该员工提供劳动平安卫生条件以及必要的设备。11.3 The EMPLOYEE shall have the right to refuse to carry out any dangerous operation forced upon him/her by management personnel in violation of the relevant regulations.假设该员工的上级主管违反相关法律法规,要求其从事危险性工作,该员工有权拒绝。ARTICLE 12: SOCIAL INSURANCES第十二条:社会保险12.1 The PANY must join social insurance schemes for the EMPLOYEE in accordance with the relevant laws and regulations of the Peoples Republic of China and shall pay on time social insurance premiums to the social insurance institutions according to the standards set by the local authorities.本公司严格遵守中华人民国有关法律法规为该员工缴纳社会保险,并且依照当地政府部门制定的标准将保险费按时、全额支付给社会保险机构。ARTICLE 13: HOLIDAYS第十三条:休假13.1 The EMPLOYEE enjoys statutory holidays for official public holidays, wedding, and funerals in line with the relevant laws and regulations of the Peoples Republic of China.该员工依照中华人民国有关法律法规享受法定休假,包括法定节假日、婚假、丧假、产假。13.2 The EMPLOYEE is entitled yearly (for a full year worked) to a paid annual vacation of ten (10) working days exclusive of the statutory holidays.该员工在本公司工作满一年后有权享受每年十个工作日的带薪年假,不含法定节假日。The holidays reference period is from the first day of January to the thirty first day of December. Holidays accrued during one period have to be taken on the following holiday period. For the first year of employment, holidays will be accrued at pro rata temporis.每年1月1日至12月31日作为一个休假年度,当年未休的假期只可累积到次年使用。在本公司工作未满一年的新员工可在次年享受年假,具体的年假天数按照其实际工作时间计算。13.3 After the EMPLOYEE pletes five (5) years of continuous work for the PANY the EMPLOYEE is entitled yearly (for a full year worked) to one (1) further working day of paid annual vacation for each full year which the EMPLOYEE works for PANY, but the paid annual vacation shall not exceed twenty (20) working days in the aggregate.该员工在本公司任职满五年后,在本公司每工作满一年,每年可以增加一个工作日的带薪年假,但每年带薪年假累积最多不超过二十个工作日。13.4 All leave must be taken at times agreed with the Chief Executive Officer of the PANY ten days in advance.所有休假必须提前10天向本公司申请并获得首席执行官的同意。ARTICLE 14: EXCLUSIVITY & NON-PETITION第十四条:唯一性及非竞争协定14.1 The EMPLOYEE must devote in full all his/her working time to the PANY.该员工在本公司工作期间必须勤奋敬业。14.2 It is strictly forbidden for the EMPLOYEE to have any other professional activity for himself/herself or and relatives or and third parties even free of charge.严格制止该员工在本公司任职期间为其自身及/或亲属及/或第三方提供任何有偿或无偿专业劳动。14.3 The EMPLOYEE undertakes not to exercise directly or indirectly on behalf of any petitor to the PANY even as free of charge or for himself/herself any activity which may pete with the business of the PANY for one (1) year after the termination of the present CONTRACT. This Article 14.3 is not applicable if termination of the CONTRACT is due to PANY for other reasons than the ones covered by Article 14 and Article 15.该员工与本公司解除本合同后一年不得直接或间接地代表本公司的任何竞争对手从事任何可能伤及本公司利益的有偿或无偿活动。假设由于其它原因而非本合同第14条和第15条解除本合同的,不适用本合同第14.3条。14.4 The EMPLOYEE shall pay the PANY an amount of RMB10,000 toRMB100,000 as a penalty clause if he/she does not ply with Article 14.1., Article 14.2., and Article 14.3. hereto. This amount does not include the possible actual damages which may be claimed by the PANY.假设该员工违反本合同第14.1条、第14.2条及第14.3条的规定,其必须向本公司支付1万-10万人民币作为赔偿。该笔赔偿不包括本公司对可能造成的实际损害进展索赔的金额。ARTICLE 15: CONFIDENTIALITY第十五条:协定15.1 The EMPLOYEE shall keep strictly secret and confidential and not to disclose to any third PARTY any and all technical, economic, financial, client or marketing information acquired from the PANY and or obtained because of his/her activities in the PANY.该员工须严守公司,不得向任何第三方透露自本公司处获得的及/或由于该员工在本公司任职而获得的任何技术、经济、财务、客户或市场信息。The EMPLOYEE shall not use any such information for any purpose whatsoever except within and for the tasks, duties, and responsibilities provided in this CONTRACT.该员工亦不得将上述信息用于本合同规定之工作职责以外的一切活动。15.2 The EMPLOYEE agrees that any disclosure or non authorised use of such information shall be considered as a serious misconduct except in the case whereby the EMPLOYEE has received a prior written permission from the PANY management.该员工认同,除非该员工已事先收到本公司管理部门发出的书面许可,否那么,泄露上述信息或在未被授权的情况下使用上述信息将被视为严重过失行为。15.3 The EMPLOYEE shall ply with his/her confidentiality obligations pursuant to this Article 15 for the whole term of this CONTRACT and duration of five (5) years after the termination of the CONTRACT.该员工在本公司任职期间以及在本合同解除后五(5)年应当按照本合同第15条的规定遵守协议。15.4 The EMPLOYEE shall pay the PANY an amount of RMB10,000 to RMB100,000as a penalty if he/she does not ply with his/her confidentiality obligations pursuant to this Article 15. This amount does not include the possible actual damages which may be claimed by the PANY.假设该员工违反本合同第15条的规定,没有尽到其应尽的义务,那么该员工必须向本公司支付1万-10万人民币作为赔偿。该笔赔偿不包括本公司对可能造成的实际损害进展索赔的金额。ARTICLE 16: RESPONSIBILITIES OF THE PARTIES第十六条:双方职责16.1 Either of the PARTIES shall perform its responsibilities under this CONTRACT strictly in accordance with the provision hereof.合同任何一方都应按照本合同所规定的条款严格履行各自职责。16.2 Either of the PARTIES should bear responsibilities for pensation if it violates this CONTRACT, infringes upon the interests of the other PARTY and causes damages to the other PARTY.假设合同任何一方违反本合同以及损害本合同另一方的利益并给本合同另一方造成损害,该方承当违约责任。ARTICLE 17: TERMINATION OF THE CONTRACT第十七条:合同终止17.1 Either of the PARTIES shall be entitled to terminate this CONTRACT for reasons expressly provided by the relevant laws and regulations of the Peoples Republic of China. Such termination of this CONTRACT shall ply with the proceedings provided by the relevant laws and regulations.合同任何一方均有权依照中华人民国相关法律法规终止履行本合同。本合同的终止须遵照有关法律法规操作进展。17.2 Furthermore the PANY may terminate the CONTRACT for any one of the following reasons:此外,在以下情况下,本公司可随时解除本合同:a. The EMPLOYEE has a conflict between personal interest and the interest of the PANY in dealing with supplier, customers, and individuals of other organisations doing or seeking to do business with the PANY.该员工在与本公司的供货商、客户及其它机构的人员开展业务或收集业务信息期间发生其个人与本公司利益上的冲突。b. The EMPLOYEE has asked for or received any advantage or benefits either in monetary or non monetary term of any kind form persons or organisations having business activities directly or indirectly with the PANY.该员工向与本公司有直接或间接业务往来的任何个人或机构索取或收受任何货币或非货币形式的财物或好处。c. The EMPLOYEE fails to perform his/her responsibilities under Articles 14 and Article 15 of this CONTRACT.该员工违反本合同第14条和第15条的规定。d. The EMPLOYEE left from his/her work for more than five (5) working days without prior consent from the Chief Executive Officer except in the case of force majeure which prevent the EMPLOYEE from informing the Chief Executive Officer.该员工事先未经首席执行官准许擅自离岗超过五个工作日,假设因不可抗力导致该员工无法通知首席执行官除外。17.3 The EMPLOYEE may also hand over a written notice of his/her resignation for personal reasons 30 days ahead.If the EMPLOYEE does not provide the PANY with one months notice, he/she should pay to the PANY one calendar month of salary and allowance mentioned in Article 4 as the pensation.假设由于其个人原因,该员工可提前三十天以书面形式提出辞职。假设该员工没有提前三十天向公司递交辞呈,该员工将向公司支付依本合同第4条所规定的一个月的月工资及补助作为补偿金。17.4 The PANY shall pay to the EMPLOYEE any pensation pursuant to relevant laws and regulations of the Peoples Republic of China in case of termination of this CONTRACT unless otherwise provided by the laws or resulting from the occurrence of the termination events agreed by PARTIES hereof or resignation of the EMPLOYEE for personal reasons. The maximum amount of pensation by the PANY will not exceed one calendar month of salary and allowance mentioned in Article 4假设本合同解除,本公司将遵照中华人民国有关法律法规向该员工支付补偿金,该补偿金总数不超过本合同第4条所规定的一个月的月工资与补助总额。合同双方依法另行约定解除本合同或者该员工出于个人原因提出辞职的除外。17.5 In case of termination of this CONTRACT due to fault of the EMPLOYEE or resignation of the EMPLOYEE for personal reasons:假设因该员工的过失或该员工出于个人原因解除本合同,那么:a. PANY need not pay to the EMPLOYEE the yearly bonus provided in Article 5 hereto; and本公司无须向该员工支付本合同第5条规定的年终奖金;b. The EMPLOYEE shall refund to the PANY all the expenses and costs for the training provided to the EMPLOYEE according to Article 7 hereto.该员工应按照本合同第7条的规定退还本公司为其提供培训投入的所有费用。ARTICLE 18: AMENDMENT OF THE CONTRACT第十八章:合同修订18.1 This CONTRACT may be revised upon agreement of both PARTIES. Any amendment to this CONTRACT shall e into force only after a written agreement has been signed by both PARTIES.本合同经合同双方同意可作修订。本合同任何修订容须经合同双方签署书面协议前方能生效。ARTICLE 19: APPLICABLE LAW第十九条:适用法律19.1 The formation, validity, and performance of this CONTRACT and disputes thereon shall be governed by the laws of the Peoples Republic of China.本合同的格式、有效期、履行、以及对本合同的争议应遵照中华人民国法律法规执行。ARTICLE 20: SETTLEMENT OF DISPUTES第二十条:争议的处理及解决20.1 Any disputes arising from the performance of or in connection with this CONTRACT shall be settled through friendly consultations between the PARTIES.任何因履行本合同或由本合同相关事宜引发的争议,应由合同双方友好协商解决。20.2 In case no settlement can be reached through consultations the PARTIES can apply for mediation to the labour dispute conciliation mittee established by the PANY, if any.假设无法协商解决,合同双方可根据需要向本公司组建的劳动争议管理委员会申请调解。20.3 If mediation can not be reached the PARTIES may apply to arbitration to the relevant labour dispute arbitration mittee.假设无法实现调解,合同双方可向相关劳动争议仲裁委员会申请仲裁。If a PARTY disagrees with the arbitrage award rendered by such mittee this PARTY may file a suit in the Baohe District Peoples Court within fifteen (15) days of being notified the said arbitrage award.假设合同任何一方对上述劳动争议仲裁委员会给予的仲裁结果持有异议,该合同方可于接到仲裁结果后十五日向市包河区人民法院提起诉讼。ARTICLE 21: MISCELLANEOUS第二十一条:其它事宜21.1This CONTRACT shall be written in Chinese and English versions. In a case of discrepancy of interpretation between the Chinese and English versions the Chinese version shall prevail.本合同以中、英文两种语言书写,假设出现中、英文翻译上的差异,以中文为准。21.2This CONTRACT is signed in three originals.本合同一式三份。Signed and or chopped by
