The rest of the payment should be paid before shipment.付款条款： 买家在订单确认后14天内预付30%定金，余款在出货前付清。7 Packing：The packing of the goods shall be preventive from dampness, rust, moisture, erosion and shock, and shall be suitable for ocean transportation/ multiple transportation. The Seller shall be liable for any damage and loss of the goods attributable to the inadequate or improper packing. The measurement, gross weight, net weight and the cautions such as Do not stack up side down, Keep away from moisture, Handle with care shall be stenciled on the surface of each package with fadeless pigment. 包装：产品包装应该防潮、防锈、防潮、防腐蚀、防震，并适用于海运及多样化运输。 卖家对不适当包装而引发的损坏或者丢失负责。 在外箱表面印刷不褪色的尺寸、毛重、净重、警告语如：不要正面朝下，谨防潮湿，小心安放。8 Shipping Marks:箱唛：9 Insurance: To be covered by the seller for 110% of invoice value against all risks and war risk as per theClause of the People Insurance Co. of China./To be covered by the Buyers.保险：按发票总金额的110%投保，一切风险由卖方承担 （黄色部分多余）10 Ownership and Risk: The ownership and risk transferred when the buying parties receiving and unpacking inspection. But if the buying parties reject or rescind the contract, the risks of damage and loss should be borne by the supplier.所有权和风险： 当买方收到开箱检验货物后所有权跟风险即转移， 但是如果买方拒绝或者废除合同，损坏跟丢失的风险应由供应商承担。11I Inspection：(1) The manufacturers shall, before delivery, make a precise and comprehensive inspection of the goods with regard to its quality, specifications, performance and quantity/weight, and issue inspection certificates certifying the technical data and conclusion of the inspection.厂家在出货前做好严格的全面的质量检查，规格、性能、数量/重量，出具检验证明书，并说明检验的技术数据和结论(2) The Seller shall have the goods inspected by 7 days before the shipment and have the Inspection Certificate issued by China Commodity Inspection Bureau.卖方须在装运前7日委托中国质量检验机构对本合同之货物进行检验并出具检验证书12 Guarantee: The Seller shall guarantee that the goods are made of good materials, with standard process, brand new unused and correspond in all respects with the quality, specifications and performance as stipulated in this Contract. The Sellers shall also guarantee that the goods, when correctly mounted and properly operated and maintained, will give satisfactory performance for a period of 15 months starting from the date on which the goods arrive at the site. If the goods have quality issue within 6 months, the seller should take all responsibility to replace rework or return the rejects free of charge.保证： 卖方保证商品使用的都是优质材料，符合标准过程，从未使用过的标准品牌，无论从质量、性能、规格都符合合同规定，在货物到达之后给予15个月的满意表现，假如货物在6个月内出现质量问题，卖方必须承担货物退还工厂进行返工，重做所产生的费用13. Claim: If the seller provide the goods can not meet the requirements based on the data sheet and the drawing in the contract mentioned, The buyer shall make a claim against the Seller to replace the goods or reject the goods and the Seller shall bear twice times the penalty payment as much as the amount of contract。The claims mentioned above shall be regarded as being accepted if the Seller fail to reply within 30 days after the Seller received the Buyers claim. 索赔：假如卖方提供的商品不符数据表或者合同绘画的要求， 买家发起索赔让卖家替换货物或者拒绝货物，卖家应承担两倍，惩罚金额根据合同的总金额一样多， 在卖家接到买房索赔后30天内回复表示默认接受。13. Late delivery and Penalty: Should the Seller fail to make delivery on time as stipulated in the Contract, with the exception of Force Majeure causes specified in Clause 14 of this Contract, the Buyer shall agree to postpone the delivery on the condition that the Seller agree to pay a penalty. The rate of penalty is charged at 1% for every 10 days, odd days less than 10 days should be counted as 10 days. But the penalty, however, shall not exceed 10 % of the total value of the goods involved in the delayed delivery. In case the Seller fail to make delivery 30 days later than the time of shipment stipulated in the Contract, the Buyer shall have the right to cancel the Contract and the Seller, in spite of the cancellation, shall nevertheless pay the aforesaid penalty to the Buyer without delay. The buyer shall have the right to lodge a claim against the Seller for the losses sustained if any.迟交货物与罚款： 除合同第14条不可抗力原因外，如卖不能按合同规定的时间交货，买应同意在卖支付罚款的条件下延期交货。 罚款额按每10天1%收取， 天数不足10天按10天计算，但是迟交罚款不得超过总价的10%，如卖延期交货超过合同规定30天时，买有权撤销合同，此时，卖仍应不迟延地按上述规定向买支付罚款。 买有权对因此遭受的其它损失向卖提出索赔。 14 Force Majeure: The Seller shall not be held responsible for failure or delay in delivery of the entire or portion of the goods under this contract in consequence of any Force Majeure incidents.不可抗力：凡在制造或装船运输过程中，因不可抗力致使不能或推迟交货时，卖不负责任。15 Confidentiality obligations: The seller shall not disclose or make public any confidential information to a third party. If disclose, the seller should burden all the lost resulting from it.保密协议： 卖方不得展示或公示任何保密信息给第三方， 任何因信息泄露造成的损失由卖方承担。16 Arbitration: All disputes in connection with this Contract or the execution thereof shall be settled through friendly negotiations. If no settlement can be reached, the case shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade, Beijing, for settlement by arbitration in accordance with the Commissions Provisional Rules of Procedure. The award rendered by the Commission shall be final and binding on both parties.
