企业入驻协议篇一：企业入驻协议书 企业入驻协议书 甲 方：惠州市谟岭新型产业园开发建设有限公司 乙 方： 按照国家有关法律、法规和惠东县有关文件规定，惠州市谟岭新型产业园开发建设有限公司（以下简称“甲方”）与_（以下简称“乙方”），本着平等自愿、诚实信用、互利互惠的宗旨，经过友好协商，就乙方在甲方开发建设的谟岭工业项目（以下简称项目一期）用地内投资建厂有关事宜签订本协议。 第一条 甲方提供乙方土地面积与用途 甲方根据惠东谟岭工业项目一期控制性详细规划，通过挂牌给乙方提供面积约 平方米、使用年限五十年的工业用地（具体位置见附图所示的坐标图），用于建设工业厂房和配套生活设施（仅限于员工宿舍与食堂）。 第二条 甲方权利与义务 1、负责协调县政府做好项目一期内土地的征地拆迁。 2、负责供水、供电、排水、排污、市政道路、场地平整等基础设施配套完善。即负责在18个月内按项目一期的总体规划使用地满足 “六通一平”的标准。 3、有权监督乙方按本协议书第一条约定的用途使用取得的土地，对乙方不按约定的用途使用取得的土地，有权终止本合同。 4、有权监督乙方按照项目一期的规划要求进行设计建设，对乙方不按规划要求进行设计建设，甲方有权终止本合同。 5、负责协助乙方进行施工临时用水、用电的报装。 6、负责协调政府保证外部配套设施接通到项目一期用地红线边，为乙方工程施工和竣工投产提供供水、供电、排水、排污和生活配套保证。 7、负责为项目一期入驻企业提供一体化的物业管理服务。 第三条 乙方权利和义务： 1、负责按本协议书约定支付土地出让金和基础设施配套完善费。 2、负责按本协议书第一条约定的用途和项目一期的规划要求在取得的土地内进行开发建设和生产经营。 3、有权监督甲方按照本协议书约定的位置、面积、时限和价格提供所需用地，对甲方不按本协议书约定的的位置、面积、时限和价格提供所需用地，乙方有权终止本合同。 4、有权监督甲方按照本协议书的约定在18个月内使用地满足 “六通一平”的标准，对甲方不按本协议书的约定使用地满足标准，乙方有权终止本合同。 5、负责在惠东县注册成立具有独立法人资格的公司，按规定缴纳开发建设和生产经营所需的报批报建费及相关税费。 6、负责按照项目一期内道路和市政管线设施的规划，建设和安装所取得土地红线内与外部联接部分的设施。 第四条 提供土地应缴纳的费用与支付方式 1、应缴纳费用的构成： 乙方应缴纳的费用包括：土地出让金和基础设施配套完善费。其中： 土地出让金是指国家规定的惠东县工业用地的最低限价；基础设施配套完善费是指甲方进行项目一期用地开发建设所发生的前期费用、拆迁费用、工程费用、管理费用及资金利息等。 甲方承诺乙方取得土地应缴纳的费用单价为295元/平方米，总费用为 元。其中： 应缴纳的土地出让金单价为204元/平方米，总费用为 元；应缴纳的基础设施配套完善费单价为 元/平方米，总费用为 元。 2、应缴纳费用的支付方式： 应缴纳的土地出让金按照惠东县国土资源局的相关规定乙方直接缴交给县财政专门帐户。 应缴纳的基础设施配套完善费乙方分三期支付给甲方。其中： 第一期：自本协议书签订之日起十个工作日内，支付定金五万元（大写人民币五万元整）。第二期：甲方通过挂牌为乙方取得所需用地并签定国有土地使用合同后五个工作日内，支付基础设施完善费总额的90%；总计万元（大写人民币 元整）。 第三期：甲方帮助乙方取得国土使用权证后五个工作日内，支付基础设施完善费总额10%的余款（扣除已交定金）；总计万元（大写人民币 元整）。 第五条违约责任 1、如甲方未能按本协议书上述约定给乙方提供所需用地，乙方有权要求甲方按每逾期一日支付已收款总额万分之二的违约金。 如甲方逾期移交超过三个月，乙方有权解除本协议，甲方需在协议解除后五个工作日内一次性退还全部已收款额，并需按每逾期一日支付已收款额万分之二的处罚金。 若造成乙方其他经济损失的，甲方应予以赔偿。 2、如乙方未能按要求摘牌拿地，未能按上述约定缴交应缴纳费用，甲方有权要求乙方按每逾期一日支付应缴纳费用总额万分之二的违约金。 如乙方逾期缴交超过三个月，甲方有权解除本协议并扣除已交定金，乙方需按每逾期一日支付应缴纳费用总额万分之二的处罚金。 若造成甲方其他经济损失的，乙方应予以赔偿。 第六条 纠纷处理双方在执行本协议书时发生民生争议或纠纷，应尽量通过协商解决；如协商不能解决时，任何一方均可向有管辖权人民法院起诉。 第七条 生效条件 本协议书经甲、乙双方法人代表或委托人签字，加盖公章并经所在地政府鉴证后生效。 第八条 其它 按照国家有关法律、法规，云南银创企业管理咨询有限公司（以下简称“甲方”）与 （以下简称“乙方”）本着平等自愿、诚实信用、互利互惠的宗旨，经过友好协商，就乙方在甲方所属昆明市五华区金碧路崇仁街1号中央首座16楼东区办公区域进行投资兴业达成如下协议： 第一条 甲方同意乙方作为企业发展扶持对象进驻甲方所属 办公区域，乙方所开展项目为：。 第二条 甲方对乙方提供的服务内容： 5、以上相关服务内容，甲方拥有最终解释权。 第三条 创业服务费、场地及设施使用押金承担方式： 1、创业服务费的标准：甲方按照提供给乙方的具体服务种类及服务内容向乙方收取创业服务费。 2、创业管理费的收取标准：甲方向乙方收取每月1000元的创业管理费，此费用的收取方式为按月缴纳。 3、结算方式及时间：乙方应在正式入驻甲方所提供办公空间前一周以内向甲方支付相应创业管理费。金额为人民币： ￥1000 （大写：壹仟圆整 ）。 4、为了保证入驻期间该办公空间的各项费用不拖欠以及保证相应的场地、设施的完整性，乙方须向甲方交纳￥25000元（大写：贰万伍仟圆整）保证金。该金额在入驻期间届满后，无拖欠款及乙方无违约行为时，甲方将此款退还乙方，否则，用此款交纳所欠的费用及支付违约金。 5、门禁卡的办理：甲方在向乙方收取押金100元，工本费30元后，将协助乙方获得东方首座大厦统一门禁卡。 第四条 乙方的责任: 1、乙方承诺在甲方提供的办公空间所在区内注册成立公司，注册资金真实，具备开展项目所需的必要资金，保证按照双方约定的用途使用该场所。乙方发生工商注册、经营范围等事项的变更，应提前15日通知甲方并在变更后3日内到甲方备案。2、乙方在生产经营活动中，必须自觉遵守国家的政策、法律和法规。 5、乙方需对该房屋进行装饰、装修或增扩设备时，应征得甲方书面同意，费用由乙方自理，并保证在不破坏房屋结构的情况下进行。 第五条 违约责任： 1、甲、乙双方均要严格按照以上各项规定执行，不得违约，如违反以上各项中任意一款均构成违约，违约方将承担相应的违约责任，守约方有权单方中止、终止该合同。 2、在该办公空间入驻期限内，乙方如逾期交付相关使用费用的，即视为违约，乙方先前交纳的保证金不予退还，甲方有权对其采相应措施，并可责令乙方搬出，乙方须在违约后30日内，向甲方支付所欠费用，同时由甲方按国家银行贷款期限利率计息，向乙方加收逾期期间的利息。 3、本合同到期或者终止时，或乙方未按合同的约定时间、数额交纳创业服务费等相关费用的，乙方应当在十日之内将房屋腾空，逾期不予腾空的，甲方有权处置该房屋内的设备及物品，由此造成的损失由乙方承担。 第六条 免除责任： 1、因不可抗力原因致使本合同不能继续履行或造成的损失，甲、乙双方互不承担责任。 2、因国家政策需要拆除或改造已入驻的房屋，使甲、乙双方造成损失的，互不承担责任。 3、因上述原因而终止合同的，创业服务费按照实际使用时间计算，不足整月的按天数计算，多退少补。 第七条 纠纷处理： 双方在执行本协议书时发生民生争议或纠纷，应尽量通过协商解决；如协商不能解决时，任何一方均可向有管辖权人民法院起诉。 第八条 其他约定事项： 1、该房屋使用权属甲方所有，甲方为乙方创造良好的卫生环境，确保乙方正常使用。 2、乙方交纳的创业服务费从确定取得使用权的时间开始计算。甲方保证按期交付使用。 3、本合同未尽事宜，经甲、乙双方协商一致，可订立补充条款。补充条款及附件均为本合同组成部分，与本合同具有同等法律效力。 第九条 生效条件：本协议书经甲、乙双方法人代表或委托人签字，加盖公章后生效。 第十条 本协议书一式两份，甲、乙方各执一份，具有同等法律效力。如需修改需经双方协商一致，并需另行签订补充协议书。 2、租赁期满后，在同等承租条件下，乙方具有优先权。如乙方要求续租租赁物的，应当在租赁期限届满前2个月内向甲方书面提出，经甲方同意后，甲乙双方就有关租赁事项重新签订租赁合同。 三、租金支付 1、租赁物租金标准暂定为20元/平方米/月。按照总协议约定，甲方给予乙方 年免租期。 2、租金每半年度结算一次。乙方应于上半使用年度最后一个月月末5日内向甲方指定的帐户缴纳下季度租金，甲方收款后向乙方供给有效的票据。乙方逾期支付租金，应向甲方支付滞纳金，滞纳金按逾期租金2倍于同期银行贷款基准利率计算；乙方拒绝缴纳的，甲方有权采取停水、停电等临时性措施。 3、乙方在入驻前向甲方缴纳一定数额的保证金（以前合同到期，原合同中保证金抵冲现在应支付的保证金），作为履约保证。 租赁期限届满，在乙方已向甲方交清了全部应付的租金及其它相关费用，并按本合同规定履行约定的责任后7日内，甲方退还乙方租赁保证金。使用4间及以下房间企业缴纳履约保证金10000元，使用5间及以上房间企业缴纳履约保证金20000元。 4、乙方应节约使用租赁物，按照5人/ 间的额定标准入驻办公，甲方预留空间给乙方，在乙方人数增加时，可及时提供房间。乙方使用房间如达不到额定人数的，超出面积收取租金，且甲方有权无条件收回超出部分。 四、租赁税费 1、乙方自行承担物管费用，物管费标准2.43元/平米/月，物管费半年预交一次。 2、乙方自行承担水、电、气、网络等费用，应按时足额交纳。公用水电表的单位按照房间分摊水电费，公共部分水电费及损耗（含公共部位空调、电梯、变损、线损、充电等费用）按照实际使用数，由已入驻企业按照房间比例分摊收取。乙方入驻时预交水电费200元/间，按月扣款，余额不足支付下月费用时乙方需再次补交预交款。 3、因生产经营需要投入的地面基础、管线、内部装璜、水电表等费用由乙方自行承担。 4、租赁期限内，租赁房屋和土地所涉及房产税、土地使用税等税金由甲方依法交纳，其余费用由乙方承担。 五、相关特别约定 1、甲方保证所出租的房屋符合法律法规对租赁房屋的有关规定。租赁期限内，除建筑物本身质量问题外，其它有关承租物内部设施的日常维护、保养、修缮、更换由乙方自行负责。乙方同意按现状承租租赁物，如因租赁物初始存在使用缺陷，导致乙方生产经营等活动受到影响，甲方不承担任何责任。 2、乙方承诺工商注册及税务登记地址应与园区内实际入驻地址一致。租赁期限内，乙方须严格遵守消防法、安全生产法、劳动法、劳动合同法、环境保护法等相关法律法规，独立自主负责日常经营管理工作和员工的安全管理责任。否则，由此产生的一切责任及损失由乙方自行承担。 3、租赁期限内，乙方应保证该租赁物及所用设施设备处于正常的可使用和安全的状态。乙方有保证租赁物及生产经营安全义务，甲方有监督管理权力，甲方在履行安全管理监督职责，对该租赁物及内部设施设备进行安全检查时，乙方应予以配合。凡发现乙方存在安全生产隐患的，甲方有权书面告知乙方，责令乙方进行整改。 4、租赁期限内，乙方须妥善维护和使用好甲方的房屋及其它设施，不得损坏主体结构、门窗和四周外墙装饰、不得超范围使用和超承载能力使用、乱搭乱占，保持文明环境。对各种可能出现的故障和危险应及时消除，以避免一切可能发生的隐患。乙方因使用不当造成租赁物内设施损坏的，乙方应负责维修，费用自行承担；无法维修的，应赔偿实际损失。在本合同终止时，乙方应保证各项设施以可靠运行状态随同房屋按期（合同终止后十日内）完好归还甲方。 5、租赁期限内，乙方自行负责购买乙方财产及其它必要的保险（包括责任险）；若未购买上述保险，所有损失及责任由乙方自行承担。造成甲方财产损失的，依法承担损害赔偿责任。 6、租赁期限内、甲方对于水、电、气等能源提供方为租赁物提供的能源的持续性或质量不承担任何责任。如有涉及前述情况，甲方有义务协助乙方向相关部门进行沟通和交涉，以保证乙方正常使用租赁物。 7、租赁期限内，乙方可按自身要求对租赁物自行装修，但装修方案须经过甲方审查同意后方可实施。装修方案不得对建筑物主体结构造成任何影响。 8、租赁期限内，若乙方需在租赁物外设立广告牌，须按政府的有关规定完成相关的报批手续并报甲方备案；若乙方需在租赁物建筑物的周围设立广告牌，需经甲方书面同意并按政府有关规定执行。 9、租赁期限内，除双方协商同意或城南新区科教城统一规划外，甲方不得中途收回所出租的房屋。乙方在租赁期限不得转租、不得违反合同使用承租房屋，否则甲方视同乙方违约，有权终止合同并追究乙方违约责任。非约定情况下提前终止合同的，按所剩余租期租金的20%作为违约金赔偿给对方。 10、本合同终止或解除后，乙方购置的办公设备、桌椅等可移动设备、设施由乙方自行负责处理。因装修、改建而添置的所有不可移动基础设施设备产权属甲方所有，乙方无权对此主张权利或要求甲方予以补贴。 11、本合同终止或解除后，乙方10日内负责腾空租赁物并交付甲方。如经甲方书面通知，乙方仍未腾空房屋交付租赁物的，甲方有权将相关可移动物品交第三人保管，保管费用由乙方承担。 12、根据本合同，一方难以联系上对方的，一方可以通过信件的方式联系对方。双方承诺，相关信件以对方为收件人、以对方注册地为收件地址付邮7日后均视为已经送达。 六、合同变更、解除与终止 1、双方可以协商变更或终止本合同。 2、甲方有以下行为之一的，乙方有权解除合同： （1）不能提供房屋或所提供房屋不符合约定条件，严重影响乙方使用。 （2）甲方未尽房屋修缮义务，严重影响乙方使用。 3、房屋租赁期限，乙方有下列行为之一的，甲方有权解除合同，收回出租房屋，并没收乙方交纳的租赁保证金： （1）未经甲方书面同意，整体转租、转借承租房屋； （2）未经甲方书面同意，拆改变动房屋主体结构； （3）企业达不到约定的投资要求或税收强度要求，甲方可以单方面解除本协议。
