entrusting party paid in registered capital of and owned 100 stock equity of the company 2 根据本协议的约定 委托方委托受托方以受托方名义持有公司的 股权 委 托方是该 股权的实际拥有人 受托方作为其 股权的名义持有人 受托 方同意接受委托方委托 名义上持有公司的 股权 According to the provisions of this agreement the entrusting party entrusts the commissioned party to hold a stock equity of the company in the name of the commissioned party where the entrusting party is the actual owner of the stock equity and the commissioned party as its stake holders in name the commissioned party agrees to accept the entrusting of the entrusting party and to hold a stake of the company nominally 双方经平等协商 根据 中华人民共和国公司法 中华人民共和国合同 法 以及其它适用的法律和法规的规定 达成如下协议 Through equal consultation according to the People s Republic of China Company Law the People s Republic of China Contract Law and other applicable laws and regulations both parties reach the following agreement 1 委托代持 Entrusting 1 1 双方确认 公司注册资金为 美金 该款由委托方实际缴付 因此 双 2 方确认 受托方是公司的 股权 以下简称 代持股权 的名义持有人 委托方是代持股权的实际拥有人 Both sides confirm that the company s registered capital is which is actually paid by the entrusting party Therefore both sides confirm that the commissioned party is the nominal holder of of company s shares hereinafter referred to as the entrusted stock equity and the entrusting party is the actual owner of stock equity 1 2 委托方委托受托方以受托方的名义在代持期限 见本协议第 3 条 内持有 代持股权 受托方同意接受委托方委托 在代持期限内以受托方的名义代 委托方持有代持股权 The entrusting party entrusts the commissioned party to hold the stock equity in the name of the trustee during the period see Section 3 of this Agreement Trustee agrees to accept the entrusting and to hold the stock equity in the name of the trustee on behalf of the entrusting party during this period 1 3 委托方为代持股权的实际拥有人 就代持股权而言 除本协议另有规定外 委托方享有公司章程以及中国法律 法规和其他规范性文件所规定的全部 股东权利并承担相应的所有义务 受托方并不实际取得公司股东地位 不 享有任何股东权利 The entrusting party is the actual owners of the stock equity As for the stock equity unless otherwise provided in this Agreement the entrusting party is entitled to all the rights provided in the Articles of company Chinese laws regulations and other normative documents as well as to the corresponding obligations Trustee do not actually get the status of the Company s shareholders and does not enjoy any rights of the shareholders 1 4 受托方不享有代持股权所对应的收益权 公司就代持股权支付的任何和全 部股息 红利以及代持股权产生的其他收益均应归委托方所有 受托方应 采取必要和可能的措施保证上述股息 红利以及代持股权产生的其他收益 被及时支付给委托方 Trustee is not entitled to the corresponding right to earnings of the share and any and all dividends gains and all other bonuses paid by the company on the entrusted share shall be owned by the entrusting party while the trustee shall take necessary and possible measures to return all of these dividends gains and other bonuses produced by the entrusted share to the the entrusting party promptly 1 5 委托方委托受托方以受托方名义就代持股权行使除股东收益权以外的其他 股东权利 包括但不限于股东的知情权 股东会召集权 提案权和表决权 但受托方应当在事先已经得到委托方的同意 或者系根据委托方指示的情 况下 方得行使上述股东权利 受托方并应准确 有效 不迟延地行使上 述权利 受托方应当将其根据委托方的同意和指示就代持股权行使上述股 3 东权利的结果 及时告知委托方 The entrusting party entrusts the commissioned party to exercise other shareholders rights on the entrusted shares except the right to earning in the name of the commissioned party including but not limited to the shareholder s right to information the right to convene the shareholders meeting proposals and voting However the trustee shall have the prior consent of the entrusting party or based on the indication of the entrusting party so as to exercise the rights of shareholders Trustee should exercise these rights accurately effectively without delay The trustee should promptly inform the entrusting party of the results about the entrusted shares under the entrusting party s consent and instruction 1 6 委托方作为代持股权的实际拥有人 有权利行使代持股权对应的人事任免 权 包括选举 指派和撤换公司董事长 董事 总经理 副总经理 财务 负责人和其他管理人员的权利 受托方不享有前述权利 但受托方应根据 委托方要求 签署必要的文件 包括但不限于股东决议和任免文件 从 而配合委托方行使前述人事任免权利 As the actual owners of the entrusted shares the entrusting party has the right to exercise the corresponding personnel management right including the election assignment and removal of company s chairman director president vice president finance managers and other management personnel Trustee is not entitled to the foregoing rights but the trustee should sign the necessary documents based on requirements of the entrusting party including but not limited to the shareholders resolution and the appointment and removal documents thereby assisting the entrusting party in performing the foregoing personnel appointment and removal rights 1 7 在代持期限内 公司增资 减资或公开发行股票而导致的代持股权在股本 总额中的比例相应改变 不影响本协议的效力和执行 如果因公司就代持 股权送股 以税后分配利润转增注册资本 以公积金转增注册资本或配股 或类似事项而导致委托方实际拥有的股权或股份数增加 则增加的股权或 股份应计入代持股权 根据本协议的条件和条款由受托方代委托方持有 Within the entrusted period the corresponding change of the proportion of entrusted shares in the total share capital due to the capital increase and reduction or public offering of shares does not affect the validity and enforceability of this Agreement If the actual number of shares owned by the entrusting party is increased because the company shares donation increases registered capital with after tax distributable profits or accumulation funds or allots shares or similar matters the increase of options or shares shall be included in the entrusted shares and shall be held by the entrusted party on behalf of the entrusting party under terms and conditions of this Agreement 1 8 在代持期限内 无论是公司进行股份制改制或上市 还是公司的股权结构 管理机构和人员发生变更 均不应影响本协议的效力和执行 4 Within the period whether the company is joint stock restructured or listed or changes the company s ownership structure management agencies and personnel structure should not affect the validity and enforceability of this Agreement 2 对代持股权的处分 Treatment of the Entrusted Shares 2 1 在代持期限内 未经委托方的事先同意或通知 受托方不得转让代持股权 不得对代持股权设置任何抵押 质押 其他担保 优先权 财产保全措施 查封 托管 租赁权 期权或其他形式的权利负担 以下合称 权利负担 或者进行任何其它形式的处分 受托方自身任何债务不应对代持股权 产生不利影响 Within the period without prior consent or notification of the entrusting party the trustee shall not transfer the shares or set any mortgage pledge other security priority property preservation measures seizure custody leasing rights options or other forms of encumbrance hereinafter collectively referred to as encumbrance or any other form of treatments Any debt of the trustee should not affect the entrusted shares 2 2 如果委托方要求受托方对代持股权设置质押或者其它形式的负担 受托方 应当按照委托方的要求 在办理相关手续方面提供必要配合 If the entrusting party requests the trustee to set pledge or other forms of burden on the entrusted shares the trustee shall provide necessary cooperation in related formalities in accordance with the requirements of the entrusting party 2 3 如果委托方指示受托方将全部或者部分代持股权转至委托方名下或者转让 给委托方指定的第三方 受托方应当按照委托方的要求 在办理股权转让 手续方面提供必要配合 转让代持股权的全部收益归委托方所有 If the entrusting party requests the trustee to transfer all or part of the entrusted shares to the entrusting party or a third party designated by the entrusting party the trustee shall provide necessary cooperation in related formalities in accordance with the requirements of the entrusting party All the benefits from the transfer of the entrusted shares are owned by the entrusting party 3 代持期限 Entrusting Period 3 1 本协议的有效期 简称 代持期限 为五年 自本协议生效日起算 除 非委托方另有指示 否则本协议在代持期限届满时自动续展五年 依此类 推 The term of this Agreement the Entrusting Term is five years starting from the effective date of this Agreement Unless otherwise directed by the entrusting party the agreement will automatically renew for another five years upon the expiration of the period and so forth 5 3 2 虽有 3 1 条的规定 如果委托方在任何时候指示受托方将部分代持股权转 至委托方名下或者转让给委托方指定的第三方 则在上述部分代持股权转 让交割后 本协议仅继续对剩余的代持股权有效 如果委托方在代持期限 内的任何时候指示受托方将全部代持股权转至委托方名下或者转让给委托 方指定的第三方 则在上述的全部代持股权转让交割后 代持期限届满 本协议终止 Notwithstanding the provisions of 3 1 if the entrusting party requests the trustee to transfer part of the entrusted shares to the entrusting party or a third party designated by the entrusting party at any time the agreement continues to be valid only on the remaining shares after the transfer of part of these entrusted shares If the entrusting party requests the trustee to transfer all of the entrusted shares to the entrusting party or a third party designated by the entrusting party at any time within the period then the entrusting period will expire with termination of this Agreement after the transfer of all of the above shares 4 代持费用 4 Entrusting Fee 4 1 受托方根据本协议的约定持有代持股权 不收取任何报酬 4 1 The entrusted party has the entrusting right of shares in line with the agreement with free of charge 4 2 在受托方履行本协议 包括但不限于持有代持股权以及根据委托方的指示 按照本协议处分代持股权 的过程中 发生的以下成本和费用 经委托方 确认和同意后 应计入委托方的成本 由委托方承担 4 2 In the implementation of the agreement by the entrusted party including but not limited to having the entrusting right of shares and handling the right according to the agreement as instructed by the entrusting party the following cost and fee occurred will be charged to the cost of the entrusting party upon the confirmation and consent of the entrusting party who shall assume it 1 发生的交易手续费 印花税 资本利得税 如适用 以及其他税费 1 Transaction fee stamp tax capital gains tax if applicable other taxes and dues occurred 2 因履行本协议发生的其他合理成本和费用 2 Other reasonable cost and fee produced from the implementation of agreement 5 保密义务 5 Obligation of Confidentiality 6 受托方承诺对本协议的存在及其内容保密 不得向任何实体或个人予以全 部或部分披露 The entrusted party shall guarantee the confidentiality of the existence and content of the agreement shall not expose all or part of the agreement to any entity or individual 6 法律责任 6 Legal Liability 本协议生效后 任何一方不履行或不完全履行本协议约定的条件和条款 即构成违约 违约方应赔偿其违约行为给守约方造成的一切经济损失 Upon commencement any party will breach the agreement by not implementing or incompletely implementing the agreed terms and conditions who shall compensate for all the economic losses resulting from the breach act to the observant party 7 不可抗力 7 Force Majeure 不可抗力 指无法预见 无法避免及无法克服 使得本协议一方部分或者 完全不能履行本协议的事件 包括但不限于地震 台风 洪水 火灾 战争 罢工 暴动 如果发生不可抗力事件 一方在本协议项下受不可抗力影响的义 务在不可抗力造成的延误期间自动中止 并且其履行期限应自动延长 延长期 间为中止的期间 该方无须为此承担责任 Force majeure refers to such event as not being predicted avoided and overcome resulting in part or full failure to the implementation of the agreement which includes but not limited to earthquake typhoon flood fire war strike and riot In case of any force majeure the obligations of one party influenced by the force majeure under the agreement will be suspended automatically during the delay time and the implementation period will be extended accordingly which is equal to the delay time when the influenced party will not assume any responsibility 8 适用法律和争议解决 8 Applicable Law and Dispute Resolution 8 1 本协议的效力 解释 履行及争议解决等事项 均适用中华人民共和国的 法律 8 1 The matters including the effect explanation implementation and dispute resolution of the agreement are applicable to the laws of the People s Republic of China 8 2 由本协议产生或与本协议有关的争议 如双方不能协商解决 则任何一方 7 可将该争议提交日照仲裁委员会 在山东省日照市进行仲裁 仲裁按照日 照仲裁委员会的仲裁程序规则进行 仲裁裁决为终局性的 对双方均有 约束力 双方同意受该裁决的约束并依照裁决执行 8 2 For the dispute produced from or related to the agreement if the parties cannot settle it by negotiation any party can submit the dispute to Rizhao Arbitration Committee for arbitration in Rizhao City Shandong Province And it will be carried out according to the arbitration procedures of the Committee The arbitral award will be final which is binding on both parties And they agree on the binding and conduct implementation by the award 9 本协议的生效 9 Commencement of the Agreement 本协议在双方签字后生效 The agreement will take effect upon signature of both parties 10 本协议的变更和补充 10 Change and Supplement of the Agreement 10 1 双方需要就有关事宜对本协议进行补充或者变更的 该补充或者变更须 经双方共同协商达成一致意见并订立书面协议后方能生效 10 1 Where both parties shall supplement or change the agreement for matters concerned the supplement or change shall come into force only after both parties reach consensus through mutual consultation and enter into written agreement 10 2 本协议附件 如有 以及双方根据 10 1 条对本协议的任何补充和变更构成 本协议不可分割的组成部分 与本协议具有同等的法律效力 10 2 The attachment of the agreement if any any supplement and change as per Clause 10 1 form the internal part of the agreement with the same equal legal effect as that of the agreement 11 其他约定 11 Others 11 1 双方应签署并递交必要的文件 采取必要的行动 以实现本协议的条款 和目的 11 1 The parties shall sign and submit the required documents take necessary actions to achieve the clauses and purpose of the agreement 11 2 双方充分知晓并理解本协议中全部条款的实质含义和其法律意义 并基 于此种理解 签署本协议 8 11 2 The parties shall have a good knowledge and understanding of the real meaning and legal sense of all the clauses in the agreement based on which they conclude the agreement 11 3 本协议所有条款的名称仅为方便查阅的目的而设定 不影响本协议条款 的意思或解释 11 3 All the names of the clauses in the agreement are established for ease reference by both parties not influencing their meaning or explanation 11 4 一方向另一方发出的通知或书面函件应以邮政快递 专人送交或传真 以邮政快递确认的 方式 及时寄送或传交给另一方 收到通知或往 来函件的日期 如果是以邮政快递方式送达 为信函投递后的第五日 如果是以专人送交方式送达 应为专人送交之日 如果以传真的方式送 达 为发出之日的下一个工作日 所有通知及往来函件应发送至以下地 址 直到一方书面通知另一方变更地址为止 11 4 The notice or written correspondence from one party shall be delivered to the other party promptly by postal express specially assigned person or fax acknowledged by post express For the receipt date if the notice or written correspondence is delivered by post express it is fifth day after delivery if by specially assigned person it is the arrival date if by fax it is the next workday after faxing day And the recipient address shall be as follows until one party informs the other party of the address change 委托方 通信地址 电话 收件人 Entrusting Party Postal Address Telephone Recipient 受托方 邮政编码 地址 电话 9 收件人 Entrusted Party Post Code Address Telephone Recipient 双方进一步不可撤销地确认和同意 上述的通信地址可以作为其各自接收 仲裁文书 通知 材料的地址 任何仲裁文书 通知 材料在邮寄或递送 至上述地址后 即可视为有效送达 Both parties acknowledge and agree irrevocably further that the foresaid postal addresses can be the ones where the arbitral award notice and material are sent And any delivery of the arbitral award notice and material are deemed to be valid upon being mailed or sent to the foresaid addresses 11 5 本协议一式二份 双方各持一份 具有同等法律效力 11 5 The agreement is in duplicate with one copy for each party with equal legal effect 双方于本协议文首日期签署如下 以兹共同信守 Both parties sign as follows on the date in the beginning of the document and shall be bound by the
